� � G. "Participant" means the Eligible Employee and Dependent <br /> . ., , , <br /> ' ` covered under the Plan. <br /> H. "Flexible Spending Account" means the segregated <br /> , account set-up for each Participant for crediting <br /> deposits of Basic Contributions and any interest <br /> thereon, and for debiting reimbursements of eligible <br /> expenses under the Constituent Plans. <br /> I. "Constituent Plan" means any welfare plan, fund or <br /> program now or hereafter identified and selected in the <br /> Plan. <br /> J. "Basic Contributions" means the amount contributed (by <br /> salary reduction) by a Participant pursuant to Article <br /> III of the Flexible Benefits Plan. <br /> II. Appointment <br /> A. The Employer hereby retains and appoints FDL to provide <br /> services as described herein. <br /> B. FDL will perform such services as are set forth in <br /> Appendix A. Al1 Appendices are attached to and made a <br /> part of this Agreement. <br /> III. Responsibilities of the Administrator <br /> A. It is understood and agreed that, the Employer retains <br /> full final authority and responsibility for the Plan <br /> and its operation and further that FDL is empowered to <br /> act on behalf of the Employer only in connection with <br /> FSA as expressly stated in this Agreement or as <br /> mutually agreed to in writing by the parties hereto. <br /> B.
