TITLES AND PRECEDENT <br /> , - The Parties agree that the titles of the Items of this <br /> Agreement, hereinabove set forth, are inserted for convenience of <br /> identification only and shall not be considered for any other <br /> purposes. This Agreement and its terms and definitions are for the <br /> sole purpose of arranging for grants pursuant to the Act and shall <br /> not govern, or be construed to govern, the rights or obligations of <br /> the Department or the Participant under any law other than the act <br /> or under any other agreement. <br /> ITEM 24. AMENDMENT <br /> The Parties agree that no change or modification to this <br /> Agreement shall be of any force or effect unless the amendment is <br /> dated and is reduced to writing and executed by both parties. No , <br /> cost or obligations shall be incurred in consequence of any i <br /> amendment to this Agreement unless and until such a written <br /> amendment has been executed and made a part of this Agreement and <br /> the Project Budget has been amended to conform thereto. <br /> ITEM 25. SEVERABILITY <br /> The Parties agree that if any provisions of this Agreement shall <br /> be held invalid for any reason whatsoever, the remaining provisions <br /> shall not be affected thereby if such remaining provisions could <br /> then continue to conform with the purposes, terms and requirements <br /> of applicable law. <br /> ITEM 26. ASSIGNMENT <br /> Participant agrees that this Agreement shall not be assigned or <br /> transferred without the written consent of the Department and that <br /> any successor to Participant's rights under this Agreement will be <br /> required to accede to all of the terms, conditions and requirements <br /> of this Agreement as a condition precedent to such succession. <br /> ITEM 27. DOCUMENTS FORMING THIS AGREEMENT <br /> This agreement, the Participant's Downstate Operating Assistance <br /> Application for the fiscal year as approved by the Department, and <br /> the standard forms constitute the entire agreement between the <br /> parties and supersedes any and all prior agreements or <br /> understandings between the parties. <br /> 20 <br />
