� . DEMONSTRATION SERVICES PROVIDER AGREEMENT BETWEEN CARLE CLINIC ASSOCIATION, P.C. AND CITY OF DECATUR, ILLINOIS This Agreement, executed in duplicate, each of which shall be deemed an original, is made and entered into by and between Carle Clinic Association, P.C., an Illinois professional service corporation, with its p�inciple office at 602 West University, Urbana, Illinois, (hereinafter referred to as "Carle Clinic"); and City of Decatur, Illinois, A Municipal Corporation at #1 Civic Cente� Plaza, Decatur, Illinois, 62523, (hereinafter referred to as "Provider"). RECITALS WHEREAS, Carle Clinic has been designated a site for the Medicare Alzheimer's Disease Demonstration, mandated by Section 9342 of Public Law 99-509, to determine effectiveness, cost, and impact of providing comprehensive medically-oriented and social services not currently reimbursed by the Health Care Financing Administration (hereafter referred to as HCFA) for Medicare or Medicaid beneficiaries who have Alzheimer's disease or related disorders; and WHEREAS, Provider isthe central Information and Referral Center,andfurnishes transportation services to clients in Decatur, Illinois, from its location in Decatur, Illinois, I (hereinafter referred to as the "Location"); and � WHEREAS, Carle Clinic and Provider desire to enter into an agreement by which I Provider will provide the designated Medicare Alzheimer's Disease Demonstration Services, set forth in Exhibit A (and hereinafter referred to as "Demonstration Services") and as more fully described in Exhibit B, pursuant to this Agreement to Demonstration Patients (hereinafter referred to as "Patients") who reside in the vicinity of Location, and who voluntarily elect to receive such Demonstration Services from Provider,and by which Carle Clinic will compensate Provider for Demonstration Services rendered to Patients. NOW THEREFORE, in consideration of the promises hereinafter set forth, the above-stated recitals, which are incorporated herein by this reference, and other valuable consideration, the adequacy and receipt of which is hereby acknowledged, Carle Clinic and Provider agree as follows:
