18 . For those risks not covered by the contracts or <br /> insurance maintained pursuant to this Agreement, the City <br /> shall, at City' s own expense, defend all claims and suits <br /> that may be brought against ATE or TNID or any of their <br /> employees on account of, or in connection with, or by reason <br /> of any damage or injury to life, limb or property connected <br /> with, growing out of or caused by any act or omission to act I <br /> of ATE or TMD or any employee of ATE or TMD in or about the <br /> management or operation of said transit system or facilities <br /> hereunder and shall save and keep harmless ATE and TNID and <br /> their employees from any and all damages, judgments, costs <br /> and ex enses of every kind that may arise or result by <br /> P <br /> reason of the acts or omissions of ATE or TMD or the employ- <br /> ees of ATE or TMD by reason of, growing out of, or connected <br /> with the management or operation of said transit system or <br /> facilities and the carrying out of the terms and provisions <br /> of this Agreement. ATE shall, at ATE's own expense, defend <br /> all suits that may be brought against the City on account <br /> of, or in connection with, or by reason of any loss, damage, <br /> liability or expense connected with, growing out of or <br /> caused by any criminal act or omission to act or fraud of <br /> ATE or any employee of ATE in or about the management or <br /> operation of said facilities hereunder and shall save and <br /> keep harmless the City from any and all damages, judgments, <br /> costs and expenses of every kind that may arise or result by <br /> reason of the criminal acts or fraud of ATE or the employees <br /> of ATE by reason of, growing out of, or connected with the <br /> 10 <br />
