public official liability insurance in accordance with that <br /> provided for other officers of the City. In addition, if the <br /> Employee is sued in any court for any cause of action, except for <br /> criminal, traffic or misdemeanor offenses, arising from his <br /> actions or conduct as an employee of the City, the City shall <br /> select and pay for an attorney who shall provide a defense for <br /> said Employee, unless the City Council determines that said <br /> Employee was acting outside of the scope of his duties when <br /> engaged in the action or conduct which forms the basis of the <br /> suit. <br /> 12 . ) OTHER INSURANCE. The City shall pay the full cost of <br /> providing the Employee with $300 ,000 of individual term life <br /> insurance, in addition to any other insurance coverages provided <br /> herein and provided the Employee is insurable on a non-rated <br /> basis. <br /> 13 . ) HOLIDAYS. The Employee shall receive the same paid ' <br /> holidays as are afforded to other city officials. <br /> 14 . ) TERMINATION BY CITY. The City may terminate this <br /> Agreement at any time by appropriate action of the Council, <br /> passed in accordance with applicable laws . If the Employee is <br /> terminated while he is ready, willing, and able to perform the <br /> duties of City Manager, the City shall pay the Employee for any <br /> loss on his residence if the Employee sells the same and moves to <br /> another location outside of the City of Decatur, provided that <br /> said sale is within a reasonable period of time following said <br /> termination. <br /> 15 . ) TERMINATION BY EMPLOYEE. The Employee may terminate <br /> this Agreement at any time by giving thirty (30) days written <br />
