SOFTWARE LICENSE AGREEMENT <br /> PURCHASER Contract/Order �i ,S�r�_�- narP.� FPT�r�iar�; �n, � q� <br /> MOTOROLA Order � 3205-0202-02-921 <br /> . <br /> MOTOROLA will, in the courx of the transacuon for the items of equipment�identified <br /> in the above noted purchase agreement, deliver to PURCHASER, on a licensed basis, one or <br /> more computer programs which run on processors which are icr'the Equipment including, without . <br /> limitation, a revised substitute for a delivered program and documentation related to each <br /> program ("Product Program"). MOTOROLA may deliver a Product Program to PURCHASER in <br /> a variety of inediums including, without limitation, an encoded machine executable form using <br /> media such as magnetic disc, diskette or tape oc in a computer chip form. Unless otherwise <br /> agreed to in a separate written license agreement signed by an authorized cepresentative of <br /> both parties, delivery of each Product Program by MOTOROLA and acceptance of same by <br /> PURCHASER shall be made only under the terms and conditions that follow. <br /> (1) Product License MOTOROLA grants to PURCHASER a nonexclusiv� license to <br /> use each Product Program delivered to PURCHASER hereunder. Each such <br /> license granted authorizes PURCHASER to use the Product Program only in its <br /> distributed form for PURCHASER's own internal use and only in a single processor <br /> which is in a single item of Equipment. Except as provided for in Paragraph (3) <br /> below, each such license may not be assigned, sublicensed or otherwise <br /> transf�rred by PURCHASER without MOTOROLA's prioc written consent. Any <br /> prohibited assigntnent, sublicense o� tcansfer shall be null and void. PURCHASER <br /> shall pay all sales, use and excise taxes, and any other assessments in the nature <br /> of taxes however d�signated, on the Product Programs, their license oc us� or on <br /> oc resulting fcom this license agreement, unless PURCHASER furnishes <br /> MOTOROLA with a certificate of exemption from payment of such taxes in a <br /> focm reasonably acceptable to MOTOROLA. <br /> (Z) Title; Security; Copies. <br /> (a) Title to the original of any Product Program delivered hereunder and any <br /> copies made by PURCHASER in whole or in part is and shall at all times <br /> remain in MOTOROLA. <br /> (b) PURCHASER acknowledges that the Pcoduct Programs contain valuable <br /> , proprietary iriformation and trade secreu and that unauthorized <br /> dissemination of the Product Programs (including, without limitation, <br /> disassembly, decompiling or reverse �engineering� could cause irreparable <br /> harm to MOTOROLA, and thus PURCHASER agrees not to make the <br /> Product Programs available to any person unless PURCHASER has taken <br /> appropriate action with such persons permitted access to the Product <br /> Programs so as to satisfy PURCHASER's obligations under this license <br />' agreement. <br /> S-BH R11/87-1 -1- <br />
