<br /> A1v 01t��1vA1vCE authorizing and approving the issuance and
<br /> sale of not to exceed $10,000,000 City of Decatur, Macon County,
<br /> Illinois Revenue Refunding Bonds, Millikin University,
<br /> Series 1993 (the "Series 1993 Bonds"), of the City of Decatur,
<br /> Macon County, Illinois (the "City"), for the purpose of (i) advance
<br /> refunding the City of Decatur, Macon County, Illinois Revenue
<br /> Bonds, Millikin University, Series 1988 (the "Series 1988 Bonds"),
<br /> (ii) advance refunding the City of Decatur, Macon County, Illinois
<br /> Revenue Bonds, Millikin University, Series 1991 (the "Series 1991
<br /> Bonds"), (iii) establishing a debt service reserve fund for the
<br /> benefit of the Series 1993 Bonds and (iv) paying certain costs
<br /> incurred in connection with the issuance of the Series 1993 Bonds
<br /> and the advance refunding of the Series 1988 Bonds and the
<br /> Series 1991 Bonds; authorizing and approving the execution and
<br /> delivery of an Official Statement pertaining to the Series 1993
<br /> Bonds, a Trust Indenture dated as of August 1, 1993 between the
<br /> City and First of America Trust Company, an Illinois trust
<br /> company, as trustee (the "Trustee"), a Loan Agreement, Mortgage
<br /> and Security Agreement dated as of August 1, 1993 (the
<br /> "Mortgage") between the City and Millikin University, an Illinois
<br /> not for profit corporation (the "Corporation"), a First
<br /> Supplemental Trust Indenture dated as of August 1, 1993 between
<br /> the City and First of America Trust Company, an Illinois trust
<br /> company (formerly known as The Citizens National Bank of
<br /> Decatur, Decatur, Illinois), as trustee (the "Series 1988 Trustee"),
<br /> supplementing and amending that certain Trust Indenture dated as
<br /> of October 1, 1988, between such parties, a First Supplemental
<br /> Trust Indenture dated as of August 1, 1993 between the City and
<br /> Magna Trust Company, Belleville, Illinois, as trustee (the "Series
<br /> 1991 Trustee"), supplementing and amending that certain Trust
<br /> Indenture dated as of May 1, 1991, between such parties, a Tax
<br /> Exemption Agreement and Certificate among the City, the
<br /> Corporation and the Trustee, and a Bond Purchase Agreement
<br /> among the City, the Corporation and First Chicago Capital
<br /> Markets, Inc., as underwriter; approving the execution and
<br /> delivery of the First Mortgage Note, Series 1993, of the
<br /> Corporation under and pursuant to the Mortgage; approving the
<br /> issuance and delivery of a Bond Insurance Policy by AMBAC
<br /> Indemnity Corporation; and authorizing and approving certain
<br /> related matters.
