� • , r <br /> 2: The Executive Carrnnittee and the proper officers of the Corporation are <br /> hereby authorized, em�wered and directed to do all such acts and things and to <br /> execute, aclmcnaledge and deliver all suc.h doc�mients, including, without <br /> limitation, a meniorandwn of agreement with the City pursuant to whiah the City <br /> expresses its intent to assist the Corporation in financing the Project, and to <br /> pay all such fees, taxes and expenses as may in their discretion be deemed <br /> necessa.ry or desirable in order to carry out and camply with the terms arid <br /> provisions of these resolutions; provided, however, that the decision whether <br /> and to what extent to incur such tax-exempt financirig and the terms and <br /> pravisions thereof shall be subject to the approval of this Board of Trustees; <br /> and all of the acts and doings of the Executive Cvmmittee and the officers of <br /> the Corporation which are in conformity with the intent and purposes of these <br /> resolutions, whethex heretofore or hereafter taken or done, shall be and the same <br /> are hereby in all respects, ratified, confirnled and appraved. <br /> 3.
