At the conclusion of the twelfth year of this
franchise and upon the written request of the Company, the City
shall begin franchise renewal proceedings. If the City finds that
the Company has demonstrated that it has complied with all material
terms of this franchise, has provided reasonable signal quality,
technical performance and customer service, and is willing to commit
the financial, legal and technical resources to provide the
services, facilities and equipment necessary for the cable-related
needs of the community, taking into account the economic and
technical feasibility of ineeting those needs, the City shall grant a
franchise renewal unless federal or state law has established
alternative criteria for franchise renewals or permits the City to
use more discretion regarding such removal than is available to it
on the effective date of the agreement.
-23-
