That the Company shall permit the City without <br /> charge to use any and all poles, towers, and conduits of the <br /> Company, but the use thereof by the City shall be in such manner as <br /> not to interfere with the use, or efficiency thereof, by the Company <br /> and provided that the City use thereof shall be in accordance with <br /> the Federal Communications Commission (FCC) Rules and Regulations <br /> Part 76, Sub-Part * (Technical Standards) and the National <br /> Electrical Safety Code, NFDA No. 70. <br /> Section 9. Company shall provide, at no cost to the City, an <br /> emergency alert audio override capability which will enable the City <br /> or its designee to provide audio emergency information on all <br /> channels carried on the cable system. This emergency alert system <br /> will be available for use 24 hours a day, 7 days a week and will be <br /> designed to be activated from a location designated by the City. <br /> The City shall indemnify Company from all third party claims, <br /> charges, demands, liabilities, casts, expenses and fees, including <br /> attorney fees, arising out of the City's use of the override system, <br /> unless said claim arises out of the gross negligence of the Company. <br /> Section 10. That when so requested by the City, the Company <br /> shall furnish one 6 MHz channel to be used by the City for any and <br /> all City communication applications. <br /> -5- <br />
