86-93 AUTHORIZING THE EXECUTION AND DELIVERY OF A FIRST SUPPLEMENTAL TRUST INDENTURE IN CONNECTION WITH THE OUTSTANDING SINGLE FAMILY MORTGAGE REVENUE BONDS, 1979 SERIES A

J � WHEREAS, the Issuer, the Trustee and the Custodian entered into a Trust Indenture dated as of January 1, 1979 (herein referred to as the "Original Indenture" and, together with this First Supplemental Indenture and all other indentures supplementary and amendatory thereof, referred to as the "Inden- ture" ) , pursuant to which the Issuer has issued its Bonds; and WHEREAS, pursuant to Section 11 .01 of the Original Indenture the Trustee has determined, in reliance upon the cer- tificate specified in Section 2. 01(f) of this First Supplemental Indenture and in reliance upon the Bond Insurance Policy that the changes made by this First Supplemental Indenture are not to the prejudice of the Trustee or the holders of the Bonds; and WHEREAS, all things necessary to make this First Sup- plemental Indenture have, in all respects, been duly authorized. NOW, THEREFORE, THIS FIRST SUPPLEMENTAL INDENTURE WITNESSETA: Issuer , in consideration of the premises and the ac- ceptance by Trustee of the trusts created by the Indenture, and the acceptance by Custodian of the duties created by the Inden- ture, and for other good and valuable consideration, the receipt of which is hereby acknowledged, to secure the payment of the principal of and interest on the Bonds according to their tenor and effect and to secure the performance and observance by Issuer of all the covenants expressed or implied in the Indenture and in the Bonds, does hereby irrevocably pledge and assign unto First Wisconsin Trust Company, as Trustee, and its successors in trust and assigns forever , and to the Custodian as the duly appointed agent of the Trustee for certain purposes under the Indenture, for the securing of the performance of the obligations of Issuer hereinafter set forth: GRP.NTING CLAUSE FIRST All right, title and interest of Issuer ( i ) in and to the Bond Insurance Policy (as herein defined) including, without limiting the generality of the foregoing, the present and contin- uing right to make a claim for , collect, receive and receipt for any income, revenues, receipts or proceeds and other sums of money payable to or receivable by Issuer under the Bond Insurance Policy and ( ii ) to bring actions and proceedings under the Bond Insurance Policy for the enforcement thereof and to do any and all things that the Issuer is or may become entitled to do under the Bond Insurance Policy. -2-
