� <br /> and prosperity of the residents of the City thereby reducing the <br /> evils attendant upon unemployment; and <br /> WHEREAS, the City has held on December 16, 1985 upon <br /> reasonable notice a public hearing (the "Public Hearing" ) as <br /> required by Section 103( k) of the Internal Revenue Code of 1954 , <br /> as amended (the "Code" ) , relating to the issuance and sale of its <br /> industrial revenue bonds hereinafter authorized, a copy of the <br /> notice of which is attached hereto and incorporated by reference <br /> herein; and <br /> WHEREAS, the City proposes to sell industrial revenue bonds <br /> hereinafter authorized and designated "City of Decatur $3 , 000, 000 <br /> Adjustable Rate Industrial Revenue Bonds , 1985 Series A (Carter- <br /> Wallace, Inc. Project ) " in an aggregate principal amount not to <br /> exceed $3, 000 , 000 ( the "Bonds" ) on a negotiated basis to the <br /> Chase Manhattan Bank (National Association) ( the "Original <br /> Purchaser" ) , and the Bonds will be issued pursuant to the Trust <br /> Agreement hereinafter identified; and <br /> WHEREAS , there have been prepared and presented to the City <br /> the following documents , the terms and the execution and delivery <br /> of which the City proposes to approve: <br /> l. The form of the Loan Agreement, dated as of <br /> December l, 1985 as (the "Agreement" ) ; <br /> 2 . The form of the Trust Agreement , dated as of <br /> December l, 1985 ( the Trust "Agreement" ) between the <br /> City and Chase Lincoln First Bank, N.A. , as trustee <br /> ( the "Trustee" ) ; and I <br /> 3 . The f orm of the Bonds . <br /> WHEREAS , it appears that each of the instruments above <br /> referred to, which are now before this meeting, is in appropriate <br /> form and is an appropriate instrument to be approved, executed <br /> and delivered by the City for the purposes intended: <br /> NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF <br /> DECATUR, ILLINOIS : <br /> l. That the form, terms and provisions of the Trust <br /> Agreement be, and they hereby are, in all respects approved, <br /> and that the Mayor and the City Clerk be, and they hereby are, <br /> authorized, empowered and directed to execute, attest, seal <br /> and deliver the Trust Agreement in the name and on behalf of <br /> the City, and thereupon to cause the Trust Agreement to be <br /> - 2 - <br />
