Authority, which are hereby approved, with such changes therein not inconsistent with this Bond Legisiation and not substantially adverse to the Issuer as may be permitted by the Enabling Ordinance and approved by such officers. The approval of such changes by such officers , and that such are not substantially adverse to the Issuer, shal� be conclusively evidenced by the execution ef the Agreement, the Bond Purchase Agreement, the Indenture and such assignment by such officers. The Executive of the Issuer and the City Clerk of the Issuing Authority are each hereby separately authorized to take any and a11 actions and to execute such financing statements, certificates and other instruments that may be necessary or appropriate in the opinion of Carlson and Hug, as Bond Counsel, in order to ef�ect the issuance of the Bond and the intent of this Bor_d Legis?ation. The City Clerk of the Issuing Authority, or other appropriate officer of the Issuer, shall certficate a true transcript of all proceedinas had with respect to the issuance of the Bond, along with such information from the records of the Issuer as is necessary to determine the regularity and validity of the issuance of the Bond. The Bond Legislation shall constitute a part of t�e Indenture as therein provided and for all purposes of the Ir.denture , including, without limitation, application to this Bond Legislation of the provisions in the Indenture relating to amendment, modification and supplementation, and provisior.s for severability. Section 13 . It is herewith found , determined and declared that the existence of the Pro�ect will create or retain employment opportunities in or near the Issuer and will be ar economic development project of good standing which will benefit the issuer. Secticn 14. The Issuer hereby elects to have the provisior.s of Section 103 (b) (6) (D) of the Internal Revenue Code of 1954 , as amended, apply to the Bond authorized by this Bond Legislation and the Executive andJor the City Clerk are hereby directed to file or cause to be filed an appropriate statement relating to such election with the Internal Revenue Service. Section 15 . The Executive and City Clerk, for and on behalf of the Issuer be , and each of them hereby is, authorized and directed Lo do any an3 all thir.gs necessary to effect the performance of this Bond Legisiation, the execution and delivery of the Bond and the performance of all other acts of whatever nature necessary to effect and carry out the authority conferred bv this Ordinance. The Executive and City Clerk be, and they are hereby, further authorized and directed for and on behalf of the Issuer, to execute all papers , documents , certificates and other ins�ruments that may be required for tne carrying out of the authority conferred by this Bond Legislation or tu evidence said au�hor:ity ar.d to ex_ercise and otherwise takz al�. �ecessary 20
