84-81 AUTHORIZING THE ISSUANCE AND SALE OF POLLUTION CONTROL REVENUE BONDS, SERIES 1984

proceeds of the Bonds to the Company, and the Company agrees to pay to the Issuer amounts sufficient to pay at maturity the principal of, interest and make-whole payment, (as defined in the Agreement) if any, on the Bonds hereinafter authorized by executing and delivering its Promissory Note in the principal amount of $1,850,000 (the "Note"); and WHEREaS, it is now necessary to authorize the execution and delivery of an Indenture of Trust dated as of December 1, 1984 (the "Indenture"), from the Issuer to The Vlillikin National Bank of Decatur, as Trustee (the "Trustee"), for the benefit of the owners of the Bonds; and WHEREAS, the Issuer has caused to be prepared and presented to this meeting the following documents, which the Issuer proposes to enter into or accept: l. The form of Agreement; 2. The form of Indenture; 3. The form of Bonds; and WHEREAS, pursuant to Section 103(k) of the Internal Revenue Code of 1954 as amended (the "Code"), a public hearing on the proposed plan of financing of the Project through the issuance of the Bonds was held by the City Council of the Issuer prior to the adoption of this ordinance, pursuant to notice of said public hearing duly published on October 31 , 1984, in the Decatur Herald & Review, a newspaper of general circulation in the City of Decatur, Illinois; NOW, THEREFORE, BE IT ORDAINED BY THE COUNCII. OF THE CITY OF DECATUR, 1YiACON COUNTY, ILLINOIS, AS FOLLOWS: Section 1. That the City Council of the Issuer hereby finds and determines that the Project, and the financing thereof by the Issuer through the issuance of the Bonds, serves a public purpose in protecting and promoting the health and welfare of the citizens of the State of Illinois and the City c�f Decatur, Illinois by reducing, controlling and preventing environmental damage, and hereby approves the acquisition, construction -?-
