In the event that the Mayor or the City Clerk shall be unable by reason of absence , vacancy of office, 3isability or debt to perform in a timely fashion any of the duties contemplated herein , including, but not limited to , the execution and �elivery of the �ocuments, certificates or other instruments contemplated herein , such duty shall be performed by the officer or official succeeding to such �uties in accordance with law an� the ordinances of the Issuer . ELECTION UNDER THE INTERNAL REVENUE CODE Section 9. The Issuer hereby elects to have the provisions o Section 103 (b) (6) (D) of the Internal Revenue Co�e of 1954 , as amende3, applied to the issuance of the Bonds. The Mayor and the City Clerk are authorized to execute and file, for and in the name of the Issuer , such documents as may be necessary or appropriate to effectuate such election. OPINION OF BOND COUNSEL Section 10. Messrs . Herz, Levin, Teper , Sumner & Croysdale, S. . , Milwaukee, Wisconsin , shall act as Bond Counsel in connection with the issuance of the Bon3s , an� as such Bond Counsel shall furnish their approving opinion with ' resnect to the issuance of the Bonds. � SEVERAB IL ITY Section 11.
