In the event that the Mayor or the City <br /> Clerk shall be unable by reason of absence , vacancy of office, <br /> 3isability or debt to perform in a timely fashion any of the <br /> duties contemplated herein , including, but not limited to , the <br /> execution and �elivery of the �ocuments, certificates or other <br /> instruments contemplated herein , such duty shall be performed <br /> by the officer or official succeeding to such �uties in <br /> accordance with law an� the ordinances of the Issuer . <br /> ELECTION UNDER THE INTERNAL REVENUE CODE <br /> Section 9. The Issuer hereby elects to have the <br /> provisions o Section 103 (b) (6) (D) of the Internal Revenue Co�e <br /> of 1954 , as amende3, applied to the issuance of the Bonds. The <br /> Mayor and the City Clerk are authorized to execute and file, <br /> for and in the name of the Issuer , such documents as may be <br /> necessary or appropriate to effectuate such election. <br /> OPINION OF BOND COUNSEL <br /> Section 10. Messrs . Herz, Levin, Teper , Sumner & <br /> Croysdale, S. . , Milwaukee, Wisconsin , shall act as Bond <br /> Counsel in connection with the issuance of the Bon3s , an� as <br /> such Bond Counsel shall furnish their approving opinion with ' <br /> resnect to the issuance of the Bonds. � <br /> SEVERAB IL ITY <br /> Section 11.
