. <br /> be pending in committee, or a decision shall have been rendered by a court of the United <br /> States or Illinois or the Tax Court of the United States, or a ruling shall have been made <br /> � or a regularion shall have been proposed or made, or any other release or announcement <br /> shall have been made by the Treasury Department of the United States or the Internal <br /> Revenue Service, or other federal or Illinois authority, with respect to federal or Illinois taxa- <br /> tion upon revenues or other income derived by you or any similar body, or upon interest <br /> received on obligations of the general character of the Bonds, that, in our reasonable judg- <br /> ment, materially adversely affects the market for the Bonds, or the market price generally <br /> of obligations of the general chazacter of the Bonds. <br /> (2) There shall exist any event that in our reasonable judgment either (A) makes un- <br /> true or incorrect in any material respect any statement or information in the O�cial State- <br /> ment or (B) is not reflected in the O�cial Statement but should be reflected therein or is <br /> necessary to make the statements and information therein not misleading in any material <br /> respect. • <br /> (3) There shall have occurred any outbreak of hostilities or other local, national or <br /> international calamity or crisis, or any other event, the effect of which on the financial mar- <br /> kets of the United States will be such as, in our reasonable judgment, makes it impracticable <br /> for the Underwriters to mazket the Bonds or enforce contracts for the sale of the Bonds. <br /> (4) There shall be in force a general suspension of trading on the New York Stock Ex- <br /> change or minimum or maximum prices for trading shall have been fixed and be in force, <br /> or maximum ranges for prices for securities shall have been required and be in force on <br /> � •the New York Stock Exchange, whether by virtue of a determination by that Exchange or <br /> by order of the Securities and Exchange Commission or any other governmental authority <br /> having jurisdiction. , <br /> (5) A general banking moratorium shall have been declared by federal, New York, or <br /> Illinois authorities having jurisdiction, and be in force. <br /> (6) Legislation shall be enacted or be proposed, or a decision by a court of the United <br /> States shall be rendered, or a ruling, regulation, proposed regulation by or on behalf of the <br /> Securities and Exchange Commission or other governmental agency having jurisdicrion of the <br /> subject matter shall be made, to the effect that the Bonds or any securities vf the City or <br /> any securities similaz to the type contemplated herein (exclusive of industrial development <br /> bonds as defined by Section 103(b) of the Internal Revenue Code, as amended) are not <br /> exempt from the registration, qualification or other requirements of the Securities Act of <br /> 1933, as amended and as then in e$ect, or of the Trust Indenture Act of 1939, as amended <br /> and as then in effect. <br /> (7) There shall not be in full force and effect a permit issued by the Illinois Health <br /> Facilities Planning Board for the 1981 Project (as defined in the O$'icial Statement) or the <br /> Corporation shall not be in compliance with such permit. <br /> (8) There shall have been any materially adverse change in the affairs of the City or <br /> the Corporation. <br /> (9) Any order, decree or injunction of any court of competent jurisdicrion or any judi- <br /> ` cial proceeding or any order, ruling, re�ulation or administrative proceeding by any govem- <br /> mental body or board shaIl have been issued or commenced, or any legislation have been <br /> enacted, the purpose or effect of which is to prohibit the issuance, offering or sale of the <br /> � Bonds as contemplated hereby or by the Official Statement or the performance by the City <br /> or the Corporation of their respecrive obligations under the Loan Agreement, the Note, the <br /> A4aster Indenture, the Bonds, the Bond Indenture, the Second Supp:emental Indenture, or <br /> this Purchase Contract in accordance with their respective terms. <br /> 4 <br />
