The Municipality has called the Prior <br /> Bonds maturing on or af ter January 1, 1998, for redemption and <br /> payment prior to maturity on January 1 , 1997. The Escrow Agent <br /> will provide for and give a timely notice of the call of the <br /> Prior Bonds. The form and time of the giving of such notice <br /> shall be as specified in Section 3.09 hereof: The Municipality <br /> shall reimburse the Escrow Agent for its actual out of pocket <br /> expenses incurred in the giving of such notice, but the failure <br /> of the Municipality to make such payment sha11 not in any <br /> respect whatsoever relieve the Escrow Agent from carrying out <br /> any of the duties, terms or provisions of this Agreement.
