2. The form of Indenture of Trust , dated as of <br /> December 1 , 1982 (the "Indenture") , between the City and <br /> Pittsburgh National Bank , in Pittsburgh, Pennsylvania, <br /> as trustee thereunder (the "Trustee") , setting forth the <br /> terms of the Bonds (including , without limitation, the <br /> demand for payment or purchase feature, with payment to <br /> occur no later than December 1, 2002, the rates of <br /> interest and redemption and repurchase provisions) and <br /> the conditions and security for the Bonds; <br /> 3. The form of the Bonds as set forth in the <br /> Indenture. <br /> 4. The form of Bank Bond Purchase Agreement, <br /> dated as of December 1, 1982 (the "Bank Bond Purchase <br /> Agreement) between the City, the Company, the Trustee <br /> and Pittsburgh National Bank (the "Bank) ; and <br /> 5. The form of Bond Purchase Agreement, dated as <br /> of December 21, 1982 (the "Bond Purchase Agreement) <br /> between the City and the Purchaser and the Company; and <br /> WHEREAS, it appears that each of the instruments above <br /> referred to, which are now before the City Council of the <br /> City, is in appropriate form and is an appropriate instrument <br /> for the purposes intended; <br /> NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE <br /> CITY OF DECATUR, MACON COUNTY, ILLINOIS AS FOLLOWS: <br /> Section 1. That the City finance the acquiring, <br /> constructing , improving and equipping of the Project, but <br /> only from the proceeds of the sale of the Bonds. <br /> Section 2. That, in order to finance the Project, the <br /> issuance, sale and delivery of the Bonds in the principal <br /> amount of $1,000,000 , designated and in substantially the <br /> form and content set forth in the Indenture now before this <br /> meeting, subject to appropriate insertion and revision in <br /> order to comply with provisions of the Indenture, be and the <br /> same hereby is in all respects authorized, approved and <br /> confirmed, and the form and content of the Bonds set forth in <br /> the Indenture now before this meeting be and the same hereby <br /> are in all respects authorized, approved and confirmed, and <br /> the Mayor or the Mayor pro tem and the City Clerk or Deputy <br /> City Clerk be and they hereby are authorized, empowered and <br /> directed to execute, and attest to the execution, whether by <br /> manual or facsimile signatures, seal with the official seal <br /> -2- <br />
