The form of the proposed Economic Development Revenue Bond, Series 1976 (Staley Project) , (the "Bonds") to be issued in the aggregate principal amount of $1,000,000; 4. The form of Agency Agreement to be dated as of the effective date of this Ordinance (the "Agency Agreement") , between the Issuer and Dillon, Read & Co. , Inc. , New York, New York (the Placement Agent); and S. The form of the Placement Memorandum of the Issuer to be dated as of the effective date of this Ordinance (the "Placement Memorandum") describing the Bonds; NOW, THEREFORE , BE IT ORDAINED BY THE COUNCIL OF THE CITY OF DECATUR, MACON COUNTY, ILLINOIS, AS FOLLOWS: Section 1. That the form, terms and provisions of the proposed Agree- ment and Indenture be, and they hereby are, in all respects approved, and that the Mayor and the Clerk of the Issuer be, and they are hereby authorized, empowered and directed to execute, acknowledge and deliver such instruments in the name and on behalf of the Issuer, to cause the Agreement to be delivered to the Company and to cause the Indenture to be delivered to the Trustee; that the Indenture shall constitute a lien for the security of the bonds at any time issued thereunder upon all right, title and interest of the Issuer in and to the revenues and receipts derived by the Issuer from the Project, including the payments, revenues and receipts derived from the Agreement and said revenues are hereby and in the Indenture pledged for such purpose; that the Agreement and the Indenture are to be in substantially the form submitted to this meeting and hereby approved, with such changes therein as shall be approved by the officials of the Issuer executing the same, their execution thereof to constitute conclusive evidence of their
