INTERGOVERNMENTAL AGREEMENT FOR FIBER BUILD SERVICES <br /> This Intergovernmental Agreement("IGA"or"Agreement")is entered into between Illinois Department <br /> of Innovation and Technology("DoIT"),an Illinois State Agency,and the City of Decatur("Public <br /> Agency"),a municipal unit of government,pursuant to the Illinois Constitution(Art.VII,Sec. 10)and the <br /> Intergovernmental Cooperation Act(5 ILCS 220/3 et seq.). DoIT and Public Agency are collectively <br /> referred to herein as"Parties"or individually as a"Party". <br /> RECITALS <br /> A. DoIT owns, manages and maintains the Illinois Century Network("ICN") (20 ILCS 3921/1-2),a <br /> high-speed telecommunications network that provides reliable communication links to and <br /> among Illinois schools, institutions of higher education,libraries,museums,research <br /> institutions,State agencies, units of local government,and other local entities that provide <br /> broadband service to Illinois citizens. <br /> B. Public Agency desires to have DoIT build a fiber optic network("Constructed Network")in the <br /> City of Decatur. <br /> C. This Agreement is subject to and contingent upon DoIT continuing to provide internet access <br /> and colocations services("Lit Service")to Public Agency as specified in the Intergovernmental <br /> Master Service Agreement(Exhibit D). If Public Agency terminates or defaults on the <br /> Intergovernmental Master Service Agreement, DoIT retains the right to terminate this <br /> agreement,in whole or in part,without penalty. <br /> Accordingly, in consideration of the mutual promises set forth in this Agreement,and other good and <br /> valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the parties <br /> hereby agree as follows: <br /> ARTICLE 1-ATTACHMENTS;EXHIBITS; <br /> 1.1 Attachments.
