RESOLUTION NO. (2�-Q�—N 1 <br /> RESOLUTION AUTHORIZING AGREEMENT WITH HAWK-ATOLLO FOR POWER <br /> PURCHASE AGREEMENT REGARDING SOLAR CANOPY PROJECT <br /> BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF DECATUR, <br /> ILLINOIS: <br /> WHEREAS, the City of Decatur, an Illinois home rule municipal corporation ("City") <br /> entered into an Intergovernmental Cooperation Agreement ("Agreement') with the Decatur <br /> Metropolitan Exposition, Auditorium and Office Building Authority ("Civic Center") dated <br /> November 24, 1980 for the purpose of setting forth the use and occupancy by the City of a <br /> portion of the Civic Center facilities including the use and occupancy of the parking lot area of <br /> the Civic Center; and, <br /> WHEREAS, the Agreement was amended in or around January 2012 regarding the <br /> parking lot area of the Civic Center; and, <br /> WHEREAS,the City and the Civic Center uses a significant amount of energy for their <br /> respective operations in the Civic Center; and, <br /> WHEREAS,the City has entered into negotiations with Hawk-Attollo ("Seller") for a <br /> Power Purchase Agreement("PPA") for the construction of a solar canopy project("Project') in <br /> an effort to reduce energy costs for the City and the Civic Center; and, <br /> WHEREAS, the Project will require modifications to the Civic Center parking areas and <br /> certain agreements and cooperation with the Civic Center; and, <br /> WHEREAS,the Project will require an agreement with Seller for both power provided to <br /> the Civic Center for ice rink facilities as well as power provided to the remaining area of the <br /> Civic Center and; <br /> WHEREAS,the Project will require an Agreement for Interconnection of Distributed <br /> Generation Facilities with Ameren Illinois Company, an Illinois corporation. <br /> NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF <br /> DECATUR, ILLINOIS: <br /> Section 1. That a preliminary draft of a Power Purchase Agreement with Hawk-Attollo is <br /> attached hereto and marked Exhibit A. <br /> Section 2. That the City Manager or his designee is authorized to enter into negotiations <br /> with Hawk-Attollo for a final Power Purchase Agreement to allow for Project and the supply of <br />
