Intergovernmental Agreement Wildwood Sewer Repairs expense: (a) En i eering Design of Repairs $10,000 b Construction Cost for 8" Sewer Repairs $65,000 Estimated Project Cost 1 $75,000 The costs shown are approximate and subject to change. The actual costs will be used for billing and reimbursement. Upon opening bids,the DISTRICT will provide the CITY with bid totals and request approval prior to the District entering into a construction agreement. 5. FUNDING AND REPAYMENT The City will wholly fund the 8"sewer replacement portion of this project. All actual expenses that arise from this project,including but not limited to professional services rendered by the Farnsworth Group and the DISTRICT will be invoiced to the CITY. The CITY agrees to reimburse the DISTRICT for invoiced expenses within thirty(30) calendar days of invoice but in no event shall CITY be responsible for or required to pay any amounts over those authorized without further approval from the CITY.. 6. CONSTRUCTION SUPERVISION The DISTRICT will,upon completion and acceptance of plans and specifications for the Wildwood Sewer Repairs,and award of the construction contract by the DISTRICT,provide engineering supervision during construction of the proposed improvement. It is Mutually agreed,in construction of the Wildwood Sewer Repairs to require compliance with all municipal,state,and federal laws,including but not limited to, Prevailing Wage laws. 7. INDEMNIFICATION The DISTRICT agrees to indemnify and hold the CITY,its agents,officials,and employees harmless of any and all claims,losses,attorney fees,and defense costs arising out of work done by the contractor in the execution of the contract for said project. 8. BINDING COMMITMENT The DISTRICT and CITY hereby represents and warrants that,to the extent provided by law;this Agreement shall be fully binding upon the DISTRICT and CITY,and its successors and assigns,for the entire term thereof. 9. TERMINATION OF INTERGOVERNMENTAL,AGREEMENT This agreement may be terminated upon any one of the following: a)By mutual agreement of both parties,or b)By payment in full by the CITY on remaining contract balance. IN WITNESS WHEREOF,the Sanitary District of Decatur and the City of Decatur,both of Macon County,Illinois,have hereunto affixed their respective hands and seals the 7-g day of ftd ,2018,the execution of this Agreement being by and under the respective governing body of each party hereto,by resolution duly and legally adopted.
