Either party may terminate this Agreement on thirty(30}days' natice to the other. Notice shali be in writing, and shai! be deemed received on the date actually received if delivered in person, or an the third day following the date post marked if sent via USPS, whichever is sooner. Natice to the City shall be to the Public Warks Director,One Gary K.Anderson Plaza, Decatur, Illinais, b2523. Notice to the County shal3 be to the County Engineer, 2405 N.Woadfard Street, Decatur, IL, 62526. 25. Except as restricted by law,the City shall hold harmless and indemnify the County, its officials, employees, and agents from any and all lasses, claims, expenses, damages, (excluding consequential damages}suits,andJor demands,and shall defend any suit or actian,whether at law or in equity, based on any alleged injury or damages of any type arising solely fram the negligent acts or amissians of the City and/or the City's employees, officials, agents, or contractors in the performance of this Agreement, and shall pay all damages,judgments, costs, expenses,and reasanable a#torney's fees incurred by the County in connection therewith. 26. The provisians in existing contracts, agreements, or understandings between the parties, relating to the maintenance and/or sharing of costs related ta traffic control devices included in this Agreement,to the extent any are in effect and inconsistent with the terms and intent of this Agreement, shall be superseded by this Agreement. 27. This Agreement shall cammence upon the latter of its approval by the Macon County Board, and the Decatur City Council, and shall inure to the b�nefit of the City of Decatur and County of Macon,their suaessors and assigns, through and incfuding tJctober 31, 2028, unfess terminated as provided herein. 28. This Agreement shall be construed in accardance with the laws of the State of Illinois.
