Such deductibles shall be subject to approval by the City, Such approval shall not be unreasonably withheld» The Engineer will be held solely responsible for the amount of such deductible and for any co-insurance. 8. Insurance I^3ot A Limitation. The insurance coverage and requirements contained in this Section shall not be construed to be a limitation af liability for the Professianal Service Provider. E. TERMINATIC7N 1. This Agreement may be terminated in whole or in part in writing by either party in the event of substantia!failure by the c�ther party to fulfill its obligatiQns under this Agreement through no fault of the terminating party; provided that no such terrnination may be affected unless the ather party is given nat less thari�fteen{15}calendar days prior written notice(delivered by certified mail,return receipt requested)of intent to terminate,and an opportunity for consultation with the terminating party prior to termination. 2. This Agreement nnay be terrninated in whale or in part in wrifiing by the City far its canvenience; provided that the Professional Service Provider is given not iess than fifteen{l 5}calendar days prior written notice delivered by certified rnail,return receipt requested o#'intent to terminate, and an opportunity for consultation with the Ciiy prior to termination. 3. Upon receipt of a notice of intent ta terminats from the City pursuant ta this Agreement,the Frofessional Service Provider shali(1)pramptly discontinue aIl services affected(unless the notice directs otherwise),and(2)make available to the City at any reasonable time at a location specified 6y the City all data,drawings,specifications,reports,e�timates,sumnnaries,and such other infortnation and materials as may have been accumulated by the Prnfessianal Service Provider in perFarming this Agreement,whether compieted or in process. 4. Upon termination pursuant to this Agreement,the City's Repre�entative may taice over the wark and complete the same by agreement with another party or otherwise. F. EQUAL EIvIPLOYMENT OPFORTtTNITY REQUIREMENTS. The Professional Service Pravider agrees to abide by and comply with the City's "Equal Employment Opportunity Clause" {attached and marked hereta as Exhibit F and incorporated herein by reference)to the extertt that the clause is applicable ta this cantract. G. INDEPENDENT CONTRACTOR STATLTS. Nathing contained in this Agreement shall be canstrued to make the Prc�fessic�nal Service Provider an employee or pariner of the City. The Prafessianat Service Provider shall at all times hereunder be construed to be an independent contractor, H. FEDERAL FUNDTNG. If Federal Funds are utilized as a source of Project funding,the Professionai Service Provider shalt abide by the terms of all Federai requirements in the performance of duties hereunder. I.
