H{�LD HARMLESS, Professiana] Service Provider shali indemnify and save harmless the City, its <br /> officers and employees against any and all claims for damages to property or injuries to or death af <br /> any person ar persons,including praperty and empioyees or agents af the City and including <br /> reasonable attorney's fees incurred by the City ar required in any way to be paid by the City, in <br /> defense thereof,and shait indemnify and save harmless the City frQm alt claims,demands,suits, <br /> actians or proceedings including Worker's Cor»pensation claims, af or by anyone whomsaever, <br /> proximately caused or proxzmately arising out of negtigent acts or omissians ta ac#by Prt�fessionai <br /> Service Provider in connectian with its performance af this contract, incl�iding operations of its <br /> subcc�ntractars and negligent acts or omissions of emplt�yees or age�tts oft�e Professianal Service <br /> Pravider or its subcontractors. <br /> The City shali indemnify and save harmiess the Professional Service Provider, its officers and <br /> employees against any and all clairns for damages to property or injuries to or death of any person or <br /> persons, including property and employees ar agents af the Professional Service Pravider and <br /> including reasonable attorney's fees incurred by the Professional5ervice Provider or required in any <br /> way to be paid by the Professionai Service Frovider,in defense thereaf,and shall indemnify and save <br /> harmless the Prafessianal Service Provider from all claims,demands,suits, actions ar proceedings <br /> including Worker's Campensation claims,of ar by anyone whomsoever,proximateiy caused or <br /> proximately arising out of negligent acts or omissions to act by City in connection with its <br /> performance of this cantract, including operations of its sabcontractors and negtigent acts or <br /> omissions of ennployees or agents af the City ar its subcontractors. <br /> Insurance coverage specified in this Agreement canstitutes the minimum requirements and said <br /> requirements shall not lessen or limit the liability of the Professional Service Provider under the terms <br /> of fihe Agreerrtent. The Prgfessional Service Provider shali pracure and maintain at his own cost and <br /> expense,any additional kinds and arnounts of insurance that, in the Professional Service Pravider's <br /> awn judgnnent,may be necessary for the Arofessionai Service Provider's proper prc�tectian in the <br /> prosecution of the work.Neither Party shall be liable ta the other Party far incidental, indirect, special <br /> or consequential damages. <br /> K. C4PYRSGHT ASSIGNMENT.The Professional Service Provider assigns to the City any and a!1 <br /> of Professional Service Provider's ri,ghts under copyright laws for work prepared by the Prafessianal <br /> Service Provider, its emgloyees,subcontractors or agents in connection with this Contract, including <br /> any and all rights to register said copyright,renewai rights,deterrnination righfis and import rights. <br /> The Professional Service Provider agrees to execute any additional documents the City may request <br /> to effectuate the assignment of said coPYright. <br /> L. N4 BID RIGCrING BID ROTATION. The Professional Service Provider certifies,in <br /> accardance with Section 33E-11 of the lllinois Criminal Code,that the Professional Service Provider <br /> is not baned fram bidding on contracts as a result flf a viotation of either Section 33E-3,Bid Rigging, <br /> or Section 33E-4,Bid Rotating,of the Illinois Criminal Code.The Professional Service Pravider so <br /> certifies in the Non-Callusion Statement, attached and marked herein as Eachibit G and incorparated <br /> herein by reference. <br /> M. N{� DELINQUENT TA.��ES. The Professicrnal Service Pravider agrees that it is nat delinquent in <br /> payment ofany and all ta�ces in any State or any political subdivisians therein and shall so certify in <br /> the Affidavit of No Delinquent Ta�c.es,attached and marked herein as Exhihit G,and incar�;+arated <br /> herein by reference. <br /> N. DRUG FREE WORKPLACE. The Professianal Service Provider agrees that it shall comply with <br /> the Illinois Drug Free Workplace Act,30 ILCS 58Q11,et seq.
