EXHIBIT A <br /> CONTRACT OF SALE <br /> THIS CONTR.ACT OF SALE("Contract") is by and between the CTTY OF DBCATUR, <br /> an Illinois municipal corporation ("Seller"), and the DECATUR MACON COUNTY <br /> OPPORTUNITIES CORPORATION, an Illinois Not•for-Profit Corporation. 1122 E. <br /> MARIETTA ST.,DECATUR,iL 62S21,FEIN#37-4864527("Buyer"). <br /> WITNESSETH: <br /> Seller agrees to sell and Buyer agrees to parchase on the terms and conditions hereinafter <br /> set forth, the unimproved real estate situated in Macon County, Illinois, described on Exhibit A <br /> attached hereto(the"Premises"). <br /> l. Purchase Price. The purchase price far the Premises is Six Hundred Fifty ($650) <br /> Dollars with purchase price for the property to be paid at ctosing,subject to closing adjustments. <br /> 2. No Representations. Seller has not made and does not make any representations, <br /> warranties or guarantees of any kind concerning the Premises or its condition or suitability for <br /> Buyer's proposed use, whether express or implied, oral or written. Buyer agrees that it is <br /> purchasing the Premises"as is"with�all faults and defects and based solely on Buyer's inspection, <br /> testing and investigation of the Premises. Buyer acknowledges that the disclaimers, agreements <br /> and other statements set forth in this section are an integral portion of this Contract and that Seller <br /> would not agree to sell the Premises to Buyer for th$ purchase price without the disclaimers, <br /> agreements and other statements set forth in this Paragraph 2 and that the disclaimers,agreements <br /> and other statements in this Paragraph 2 shall survive the clasing of the sale under this Contract. <br /> 3. Conditions Precedent. <br /> (A)Seller's obligations under this Contcact are subject to the following conditions: <br /> (1)Buyer promptly commencing construction of structure to house a <br /> multipurpose agency to include a not-for-profit commercial kitchen for federally <br /> qualifted senior nutrition programs,communiry services assisting low-income j <br /> � <br /> individuals working towards family stability, youth and senior services and <br /> associated uses,all of which serve at least 51%low-to-rnaderate income residents as <br /> defined by the U.S.Department of Housing and Urban Deveiopment,ar with the <br /> prior written consent of the City,those uses, including but not limited to social <br /> 2 <br />
