<br /> This Agreement,for the purchase,delivery,installation,and support of On Board Video Surveillance
<br /> System as detailed in the Request for Proposal,RFP#QPTS 2Q1&01(hereinafter"Agreement"or
<br /> "Contract"),made this 6`f'day of May 2019,is hereby entered by and between City of Decatur,an I(linais
<br /> municipality(hereinafter referred ta as"City"),and IVS,Inc dba AngelTrax,a privately-owned
<br /> corparation(hereinafter referred to as the"Contrador").Cityrs office is iocated at 1 Gary K Anderson
<br /> Plaza,Decatur,it,62523,with the Transit Office located at 555 E Wood St,Decatur,iL,b2523.
<br /> Contractor's office is located at 119 South Woodburn Dr.,Dothan,Al 36305.
<br /> WHEREAS,City desires to have certain goods provided,services andjor tasks performed,as hereinafter
<br /> set farth,requiring specialized skills and other supportive capabilities;and
<br /> WHEREAS,Contractor is qualiFied and possess sufficient skilis and the necessary capabilities,including
<br /> technical ar�ci pro#essiona4 expertise,to provide and per�orm tha services andjar tasks set forth in this
<br /> Agreement.
<br /> NOW,THEREFORE,in consideratian of the terms,conditions,cave�ants,and performance standa�ds
<br /> contained nr r�ferenced herei�,City and Contrattor,agree as foNaws.
<br /> Article 1
<br /> Purpose
<br /> The Purpose of the Agreement is to define the conditions and terms by which City wifl engage
<br /> Contra+ctor to purchase,deliver,install and support of On Baard Video Surveilfance System,as defined in
<br /> the Request far Proposals(RFP�issued by the City(RFP#OPTS 2018-01}on September 4,2018,and
<br /> Contractor's Proposal submittal documents received on October 25,2018(originaf},cost proposa!
<br /> dacuments on December 14,2018,1anuary 25,2019,and Apr's14,2019.
<br /> Article 2
<br /> Scope af Work
<br /> City and Cantractar do hereby agree to the fo(lowing Scape of Work for this Agreement:
<br /> l.Contractor shafl perform such wark and accompi'ssh such tasks,including the purchase,delivery,
<br /> installatian,and suppart of On Board Survei!(ance Systern as described in the RFP and provide all related
<br /> materials and labor necessary for fuil pesfarmance as detailed in Cantractor's responsibilities
<br /> throughout the RFP documenu and Contractor's written Proposal submittal documents{as may be
<br /> amended by written Change Qrder.l
<br /> 2.Hoth City and Cantractor agree that the purchase is pursuant to and governed by the KFP dncuments
<br /> and Cantractor's Fraposal,and all other Gontractua!Provisions inc(uding modificatiorts to the FtFP terms
<br /> during cantract negotiatfons,which are referenced hereto and made a part of this Agreement for the
<br /> purchase,de{ivery,installatian,and support of the On-Board Video SurveiAance.
<br /> 3.Contractor shall comply with ali terms and tonditions prescribed#ar third party contracts,which are
<br /> referred to in the financial assistance agreements between City and the United Sta#es Department of
<br /> Transpartatian,and between City and the 11linois Department of Transportatfan,as destribed in this
<br /> Agreement and the R�P dacuments and attachments,
