"Bond Registrar" means U.S. Bank National Association, Indianapolis, Indiana, or a <br /> successor thereto or a successor designated as Bond Registrar hereunder;provided, however, the <br /> Bond Registrar for the Project Bonds may be the Purchaser thereof. <br /> "City Clerk"means the City Clerk of the City. <br /> "Code"means the Internal Revenue Code of 1986, as amended. <br /> "County Clerk"means the County Clerk of The County of Macon, Illinois. <br /> "Designated Officials" means the Mayor, the City Manager of the City and the Director <br /> of Finance of the City, acting together. <br /> "Escrow Agent" means U.S. Bank National Association, Indianapolis, Indiana, or a <br /> successor thereto or a successor designated as Escrow Agent under the Escrow Agreement. <br /> "Escrow Agreement"means the agreement by and between the City and the Escrow Agent <br /> as authorized in Section 15 hereof and set forth as Exhibit A. <br /> "Mayor"means the Mayor of the City. <br /> "Ordinance" means this Ordinance, numbered as set forth on the title page hereof, and <br /> passed by the Council on the 17th day of June, 2019. <br /> "Paying Agent" means U.S. Bank National Association, Indianapolis, Indiana, or a <br /> successor thereto or a successor designated as Paying Agent hereunder;provided, however, the <br /> Paying Agent for the Project Bonds may be the Purchaser thereof. <br /> "Pledged Ta�ces" means the taxes levied on the taxable property within the City to pay <br /> principal of and interest on the Bonds as made in Section 12 hereof. <br /> "Purchaser" means (i) for the Refunded Bonds, Raymond James & Associates, Inc., <br /> Chicago, Illinois ("Raymond James"), and (ii) for the Project Bonds, (a) in a negotiated <br /> underwriting, Raymond James, or (b) in a private placement, a bank or financial institution <br /> authorized to do business in the State of Illinois. <br /> -5- <br />
