( � <br /> THIRD AMENDMENT <br /> TO <br /> MASS TRANSIT MANAGEMENT AGREEMENT <br /> This Amendment to the Mass Transit Management Agreement (this "Amendment"), is <br /> entered into as of July 1, 2019 (the "Effective Date"), by befinreen the City of Decatur of <br /> the State of Illinois (hereinafter referred to as "City"), and MV Transportation, Inc. <br /> (hereinafter referred to as "Contractor"). City and Contractor may hereinafter also be <br /> referred to collectively as the "Parties" and individually as a "Party". <br /> RECITALS: <br /> A. The Parties have entered into the Mass Transit Management Agreement, dated as <br /> of July 1, 2014, as amended by the First Amendment of the Mass Transit <br /> Management Agreement dated December 12, 2014, and by the Second <br /> Amendment of the Mass Transit Management Agreement dated October 3, 2016, <br /> pursuant to which Contractor provides transportation services to the City (the <br /> "Agreement") <br /> B. The Parties desire to amend the Agreement to reflect updated terms and <br /> agreements among the parties as set forth herein. <br /> NOW, THEREFORE, in consideration of the mutual covenants, representations, and <br /> warranties contained in this Amendment, and other good and valuable consideration, <br /> the receipt and sufficiency of which are acknowledged, the parties, intend to be legally <br /> bound, and agree as follows: <br /> 1. Amendments. As of the Effective Date, the Agreement is hereby amended as <br /> follows: <br /> (a) SECTION 3. SCOPE OF SERVICES OF CONTRACTOR. Section 3 shall be <br /> amended by inserting the following Subsection H: <br /> "H. CONTRACT EXTENSION <br /> 1. The City and the Contractor mutually agree to extend the Agreement for a period <br /> not to exceed eighteen (18) months from the date commencing July 1, 2019 and <br /> ending December 31, 2020. <br /> 2. The City desires to affect, and Contractor agrees to provide, certain operational <br /> changes that will provide efficient, cost effective and improved delivery of transit <br />
