r : <br /> services to the public, including, but not limited to, access to purchasing leverage <br /> / power by and of the Contractor for supplies, repair parts, and equipment; access <br /> to purchasing leverage / power by and of the Contactor for risk management <br /> business insurance including workers compensation, automobile liability and <br /> general liability; access to purchasing leverage / power by and of the Contractor <br /> for employee benefits, group healthcare and other employee benefits. <br /> 3. The City and Contractor agree to work together to define a transition plan <br /> (transitioning to full turn-key contract operations) prior to September 1, 2019 that <br /> will include agreed operational changes and an updated timetable for the changes. <br /> Operational changes may include, but are not necessarily limited to: route <br /> changes, reporting requirements, sharing of security data, Contractor/City and <br /> City/Contractor accountability requirements, sharing of management and <br /> overhead costs, and other operational aspects introduced by the Parties. <br /> 4. The City and the Contractor agree to create a management committee comprised <br /> of equal numbers of representatives from the City and the Contractor that will meet <br /> periodically throughout the period authorized by this extension to review, assess <br /> and evaluate all operational changes studied and considered. <br /> 5. The Parties agree as to City intent, upon City satisfaction with operational changes <br /> implemented, that the City will release a Request for Proposal (" RFP") to secure <br /> a long-term operating agreement at the conclusion of this contract extension, <br /> subject to an open bidding process in full compliance with State of Illinois and U.S. <br /> Federal Government procurement requirements. <br /> 6. The parties agree that upon City satisfaction with operational changes evaluated <br /> and implemented hereunder, and upon completion of the RFP process, the City <br /> and the Contractor, by mutual agreement, may elect an early termination of this <br /> agreement extension. <br /> (b) SECTION 4. COMMENCEMENT AND TERM. Section 4 shall be amended by <br /> inserting the following language in a second paragraph: <br /> The effective commencement date of the Agreement extension is July 1, 2019, <br /> regardless of the date of execution, and the Agreement shall continue for a term <br /> of eighteen (18) months from the Effective Date, ending on December 31, 2020, <br /> subject to the early termination clause as defined in the Section 3, Paragraph H <br /> Contract Extension. <br /> (c) SECTION 7.
