Tixe Lease Agreement IFB DPTS 2019-02 <br /> Retention Periad.The Bidder agrees to compdy with the record retention requirements in <br /> accardance with 2 C.F.R. § 200.333. Th� Bidder shall maintain ali books, records, <br /> accaunts and reports required under the Contract for a period of at not less than three <br /> (3) years after the date of termination or expiration of the Contract, except in the event <br /> of litigatian ar settlement of claims arising from the perfarmance af the Cantract, in <br /> which case records shail be maintained until the disposition af all such litigation, <br /> appea(s, claims ar exceptians reiated thereto. <br /> Access#a Recards.The Bidder agrees to provide sufficient access to FTA and its contractors to <br /> inspect and audit records and information related to performance of this cantract as <br /> reasonably may be required. <br /> Access to the Sites of Performance.The Bidder agrees to permit FTA and its contractors access <br /> to the sites of performance under the cantraet�s reasonably may be required. <br /> Changes ta Federal Requirements <br /> Bidder shall at a{1 times comply with aU applicable FTA regulatiQns, policies, pracedure5 and <br /> directives, inc(uding without iimitation those listed directly or by reference in the Master <br /> A�reemenfi between DPTS and FTA, as they rrtay be ara�endec! or promulgated#rorn tir►�e to time <br /> during the term of the contract. Bidder's failure to so comply shall constitute a material breach <br /> of the contract. <br /> Termination <br /> Terminatian for Convenience (General Provision)The DPTS may terminate the contracfi, in <br /> whole or in part, at any tir�ne by writfien notice to the Bidder when it is in the best interest of <br /> �PTS.The Bidder shall be paid its costs, including cantract dose-aut costs, and profit an work <br /> performed up ta tt�e time of termination along with th� rernaining value of tread on leased <br /> tires rnounted on buses and in spare stack. The Bidder shall promptly submit its termination <br /> claim to DPTS to be paid t�e Bidder. If the Bidder has any property in �ts possessit�n <br /> belonging to the DPT5,the Bidder will account for the same, and dispase of it in the manner <br /> the DPTS directs. <br /> Termination foc Qefault[BreacFt o�Cause] Ifi the 8idder does nat deliver supplies in accordance <br /> with the cantract delivery schedule, or, if the contract is far services, the Bidder fails ta pe�farm <br /> in the manner called for in the ccrntract,or if th� �idder fails to camply with any other provisions <br /> of the contract, the DpTS may terrninate this contract for default. Termination shall be effected <br /> by serving a notice af terminati4n on the contractar setting farth the way the Bidder is in default. <br /> The contractor will only be paid the contract price far supplies delivered and accepted,ar services <br /> performed in accordance with the manner of perforrnance set forth in the contract a(ong with <br /> close-out costs which include the remaining value of tread on leased tires maunted on buses and <br /> in $pare stock. <br /> t2 <br />
