Tire Lease Agreement IFB DPTS 2019-02 TIRE LEASE AGREEMENT This Agreement, made on the irt day of September 2019, by and between BRIDGESTONE AMERICAS TIRE OPERATIONS,LLC,a Delaware Limited Liability Company,with its principal offices at 200 4"' Avenue South, Nashville,Tennessee, 37201, ("Bridgestone")and the CtTY OF DECATUR,IILINOIS ("City"), a municipal corporation in the state of Ill�nois, havin�offices in Decatur, Illinois. WITIVESSETM: 1.TIRES. Bridgestone agrees to lease to the City and the City agrees to lease from Bridgestone and use such number of tires as may be sufficient to keep�II of the City's twenty-two(22)transit coaches and two(2) trolley replica coaches,and any other trans�t coaches and/or trolley replica coaches and use the same size and type tires as the transit coaches and trolley rep�ica coaches owned by the City as of the date hereof that may be owned or operated by the City, its s�bsidiaries and affiliated companies at any time during the term of this Agreement, fully equipped and to provide an adequate reserve supply; provided, however,that the City shall have the right at any time during the term of this Agreement, upon thirty(30�days' prior written notice to Bridgesteane,to equip for testing purposes up to five percent(5�0)of its fleet of transit coaches and trolley replica coaches with tires obtained from other suppliers.The City warrants that it outright owns the twenty-two (22) transit coaches and two(2)trolley replica coaches referenced above. As used in this Agreement,"tires"shall mean a casing,tube ar�d flap for a tube type tire and a casing, only, for a tubeless tire, and"vehicles"shall mear:, unless otherwise indicated,the twenty-two (22) transit coaches and two(2)trolley replica coaches now owned and operated by the City,and any other transit coaches and/or trolley replica coaches that may be owned or operated by the City and use the same size and type tires as the transit coaches and trolley replica coaches owned by the City as of the date hereof, its subsidiaries and a�liated companies at any time during the term of this Agreement. Bridgestone shall deliver tires within thirty(30)days of the Ci,1ty's written order. All tires shall be delivered to the City at 555 East Wood Street, Decatur, Illinais, between the hours of 8:00 A.M.and 4:00 P.M. (Central time),Monday through Friday, exce�t for legal holidays. All tires shall be delivered in new or first-class condition, �eady to be used. The City shall accept the tires and assume responsibility for each tire only after it has been delivered and inspected. If a tire is found to be damaged or is otherwise not in �rst class condition,the City reserves the right to reject the tire and ask that the tire be removed from the property. Bridgestone shall be responsible for proper disposal of its leased tires. Rims or wheels shall be the property of the City and extra rims or wheels shall be provided by the City. Only new tires and retreaded tires shall be accepted or utilized by the City; regrooved tires shall not be accepted or utilized by the City.
