M. Obtain and retain lead certification which includes Lead Supervisor certification within one year of this agreement. N. Prepare cost of repair estimates for praperties that may be demalished. 0. Be prepared to testify in court as to any cost of repair estimate provided. SERVICES SHAIL BE PROVIDED IN A PROFESSIONAL MANNER. Project Manager warrants that all services will be performed in a good and professional manner and that all of the services to be performed hereunder will be rendered using sound, profession8l practices and in a competent and professional manner by knowledgeable,trained and qualified personnel. No employee or agent of Project Manager that has been convicted of a felony shall perform any work under this Agreement unless at least five years have passed since completion of the sentence forthe felony and Project Manager proves that the employee or agent has been rehabilitated and does not pose a threat to the welfare or safety of persons or property CONFIDENTIAIITY. Project Manager may have access to confidential information maintained by the City only to the extent necessary to carry out his responsibilities under this Agreement. No confidential information caming under Project Manager's possession or control shall be disclosed except as permitted by law,and with the written consent of the City,either during the term of the contract or thereafter. Project Manager shall return all confidential information in his possession maintained, created,or used in the performance of this Agreement promptly at the request of the City. REQUIRED COMMITMENT. Time is of the essence for thi5 Agreement. Project Manager shall accept every Project assigned by City,shall commence work on said project within three(3)days of assignment, and shall observe such Project deadlines as City shall in its sole discretion reasonably impose. Project Manager shall provide a minimum of Fourteen (14)days prior written notice for any time period during which he will be unavailable to accept new project assignments. Such notice shall include the date on which Project Manager shall again be available to accept new Projects. Project Manager shall be unavailable for no more than Two (2)weeks per catendar year. Project Manager's unavailability shall not excuse his obligation to observe all applicable de�dlines for Projects already commenced. Failure to abide by the requirements of this paragraph shall constitute default for the first occurrence,subject to the cure provisions contained elsewhere herein. A second occurrence of failure to abide by the terms of this paragraph shall be su�cient grounds for the City to terminate this Agreement,subject to City's obligatior�to pay Project Manager for work performed prior to notice of termination. RECORD KEEPING. Project Manager shall at all times during this Agreement,and for a minimum of 3 years following termination of this Agreement, maintain accurate and complete records of work performed pursuant to this agreement,and invoices and work product produced pursuant to this Agreement. COMPENSATION. City agrees Project Manager shall receive$35.00 per billed hour. Project Manager shall log/keep track of,and account to City for the number of hours worked for each Project, in such form and including such information as Cifiy shal�require. City shall pay Project Manager for work performed on a bi-weekly basis but only upon receipt and approval of supporting documentation as required by City. Project Manager shall maintain accurate records of hours biUed for each calendar year. Once the Project Manager has received his lead Certification,the City will increase his rate from$35 to $45 per billed hour. 2 Page 130 of 344
