3.11 Staff Training. Paladina shall ensure that each member of the Medical Team <br /> receives training consistent with the terms of this Section 3.11. For any training that occurs after <br /> the Clinic Opening Date, Paladina will provide Client with advance notice that the Medical Team <br /> will not be available on the specified day(s)to provide Paladina Services at the Paladina Clinic. <br /> (a) Initial Training. Each member of the Medical Team will receive at least ten <br /> days of training before the end of his/her first year providing services at the Paladina Clinic. <br /> Whenever practicable, Paladina will arrange for this training to be completed before the Clinic <br /> Opening Date. <br /> (b) Ongoing Training. After the first one-year period following the Clinic <br /> Opening Date, the Medical Team will receive approximately five days of training per year. <br /> Paladina shall provide advance notice to Client for any days that a Paladina Clinic will be closed <br /> for training. <br /> 3.12 General Liability and Workers Compensation. Paladina shall maintain the <br /> following insurances in amounts that are appropriate to businesses which are similar in size or <br /> services to Paladina in the states in which a Paladina Clinic established hereunder is located: <br /> (a) Worker's compensation insurance as required under applicable federal and <br /> state law, covering employer's liability and third-party actions against Paladina arising out of <br /> operations under this Agreement. <br /> (b) Standard comprehensive general liability insurance with coverage limits of <br /> no less than One Million Dollars ($1,000,000) per claim and Two Million Dollars ($2,000,000) <br /> annual aggregate. <br /> (c) Professional liability insurance with coverage limits of no less than One <br /> Million Dollars($1,000,000)per claim and Three Million Dollars($3,000,000) annual aggregate. <br /> 4. Client Responsibilities. <br /> 4.1 Clinic Facility Space, Construction, and Maintenance. Client shall be responsible <br /> for providing, constructing, and maintaining a space for the Paladina Clinic that is suitable as <br /> medical office space and has the features described in Exhibits F and G or that the parties have <br /> otherwise agreed to regarding suitability. Client shall,upon the prior approval of Paladina, select <br /> such space or location for the clinic facility. Client shall be solely responsible for the costs required <br /> for or stemming from the construction, renovation, and/or repair of such facility and surrounding <br /> grounds, as applicable ("Build-Out Costs"). These Build-Out Costs if applicable, may include, <br /> without limitation, real estate broker fees, permits and/or licenses, architect and design services, <br /> insurance,taxes, occupancy fees,rent and deposits. <br /> (a) Building Services. Client or its designee shall ensure that the building <br /> services outlined in Exhibit G are available at the Paladina Clinic. Client shall maintain and <br /> repair, as necessary, the wiring, cabling, plumbing, and all other infrastructure required to make <br /> available such necessary building services. Client is also responsible for the costs of maintenance <br /> services arranged for by Paladina and described in Exhibit G. <br /> 4.2 Furniture, Fixtures, and Equipment. Client shall purchase, provide, and maintain, <br /> based on Paladina's recommendations, or reimburse Paladina for, as appropriate, all necessary <br /> 7 <br />
