sixty(60) days provide the City a response to the proposed changes, <br /> including any changes or modifications to this Contract necessitated <br /> thereby. The parties shall thereafter attempt to come to an agreement as to <br /> any disputed changes. In the event no agreement is reached after <br /> reasonable attempts to negotiate the same, either party may terminate this <br /> Contract upon a minimum seven (7) days written notice to the other. <br /> M. NON-ASSIGNMENT: The Contractor shall not assign or subcontract this <br /> Contract, or the work thereof, to any person,firm, or corporation without prior <br /> written consent of the City,but the Contractor may perform its obligations <br /> hereunder through its own affiliates, subsidiaries or divisions. No assignment <br /> or subcontracting of the work under this Contract shall relieve the Contractor <br /> of its obligations hereunder, or alter the terms of this Contract. <br /> N. INSURANCE: Prior to performing any work under this Contract, Contractor <br /> shall obtain and provide City proof of the following insurance coverages, <br /> provided by insurance companies acceptable to City and authorized to transact <br /> business under the laws of the State of Illinois. The coverages shall be in place <br /> whenever Contractor performs any work pursuant to this Contract. The <br /> insurance companies providing coverage shall be rated in the Best's Key <br /> Rating Guide. <br /> The City will not accept companies with a rating lower than A-. Companies <br /> rated A- or better shall have a financial size category of not less than VI. <br /> Coverage limits shall be written at not less than the minimum specified in this <br /> Contract. <br /> 1. Workers compensation insurance shall be provided according to the <br /> provisions of the Illinois Workers' Compensation Act, as amended. <br /> Employers Liability <br /> Each Accident $500,000 <br /> Disease-policy limit $500,000 <br /> Disease- each employee $500,000 <br /> 2. Commercial General Liability: <br /> General Aggregate Limit $2,000,000 <br /> Products-Completed <br /> Operations Aggregate Limit $2,000,000 <br /> Each Occurrence Limit $1,000,000 <br /> Insurance shall be written in the occurrence form and shall provide <br /> coverage for operations of the Contractor; and operations of any <br /> subcontractors the coverage shall provide by endorsement that the <br /> City, its officers, and employees shall be named as additional insureds <br /> with respect to the policies and any excess liability coverage for <br /> occurrences arising in whole or in part out of the work and operations <br />
