11.3 Cart Cost and Reimbursement <br /> The City will collect recycling fees to cover the expense of this contract and <br /> fees to cover the cost of the cart and other recycling promotional material. <br /> Contractor will be reimbursed for the cost of the carts plus a$4.00 handling <br /> charge per cart distributed on a monthly basis. Contractor must provide to <br /> City the following details for reimbursement within the first 10 days of the <br /> following month. <br /> a. Number and size of carts distributed to various Haulers <br /> b. Addresses of the households with the serial numbers of the carts <br /> associated with the address. <br /> The Contractor will be reimbursed within 45 days after submitting the above <br /> report. <br /> 11.4 Cart Buy-back <br /> Unless the Contract is extended,the City shall acquire all the remaining carts <br /> purchased by the Contractor for the City's Single Stream Recycling program <br /> at the end of the current Contract term. The buy-back cost for each cart shall <br /> be equal to the initial purchase price by the Contractor plus $4.00 for the cost <br /> of stocking,warehouse space, assembly and handling. <br /> 11.5 Cart Ownership <br /> Once purchased, the carts shall become property of the City of Decatur. <br /> Section 12. General Contract Terms and Conditions <br /> A. CONFIDENTIALITY: The Contractor, its agents, and its employees,will <br /> keep and retain all information and records generated under this Contract in <br /> the strictest confidence and will neither use such information or records nor <br /> disclose such information or records to anyone without the explicit written <br /> permission of the City. The Contractor warrants that it has and will continue <br /> to have in place adequate safeguards to assure that such information and <br /> records remain confidential. <br /> The Contractor acknowledges that in the course of performing services for the <br /> City, all information regarding the processing and marketing of recyclable <br /> material collected, analyzed, or produced for the City(but not the Contractor's <br /> methods,process, know-how,trade secrets or information regarding or <br /> applicable to the Contractor's processing and marketing of recyclable material <br /> generally) is the exclusive property of the City and may not be disseminated <br /> in any manner without prior written approval from an authorized <br /> representative of the City. <br /> B. INDEPENDENT CONTRACTOR: Nothing in this Contract shall be <br /> construed as creating or constituting the relationship of a partnership,joint <br />
