C. Serving as a transportation improvement project manager to assist in project <br /> prioritization, development and evaluation of funding and financing alternatives <br /> and procurement assistance for financial advisors as needed. <br /> 2. COSTS. The ALSA Agreement shall be negotiated for a maximum annual <br /> retainer of Sixty Thousand Dollars ($60,000.00). The County agrees to reimburse the <br /> City for one-half of the retainer pursuant to this Agreement. The County agrees to pay <br /> its half within thirty(30) days from the acceptance of this Agreement by both the City <br /> and the County and acceptance of the ALSA Agreement by the parties. <br /> 3. EXTRAORDINARY COSTS. The City and County recognize that the retainer <br /> amount set forth above includes ordinary costs and expenses. If extraordinary costs <br /> and expenses need to be incurred and are approved pursuant to the terms of the ALSA <br /> Agreement,the County shall reimburse the City for one-half of those extraordinary costs <br /> and expenses subject to the City first providing written notice to the County of the <br /> proposed extraordinary costs and expenses and the County's approval of said costs <br /> and expenses. <br /> 4. TERMS. This Agreement shall be effective as of the date it is entered into <br /> and shall continue in full force and effect for one (1)year with an additional one (1) year <br /> automatic renewal period. <br /> 5. TERMINATION. This Agreement shall terminate if the ALSA Agreement <br /> between the City and ALSA is not entered into or is terminated pursuant to the terms of <br /> the ALSA Agreement. This Agreement may be terminated by either party by providing <br /> thirty(30)days written notice to the other parry of its intent to terminate. Any monies <br /> paid by either partypursuant to the Agreement upto the date of termination shall be <br /> non-refundable. <br /> 6. RELEASE. To the extent permitted by law, each party hereto does hereby <br /> fully and forever release and discharge the other parties, and the County and Board <br /> members, employees, officers and agents of same, in both individual and official <br /> capacities, from any and all claims, demands, damages, rights of action or causes of <br /> action, present or future, whether due to negligence or otherwise, resulting from or <br /> arising out of the compliance, or attempted compliance,by same with the terms and <br /> provisions hereof. <br />
