AGREEMENT BETWEEN THE CITY OF DECATUR, MACON COUNTY, AND <br /> CENTRAL ILLINOIS REGIONAL DISPATCH CENTER TO SHARE COSTS <br /> RELATED TO COMPUTER-AIDED DISPATCH SOFTWARE <br /> THIS AGREEMENT is made and entered into by and between the City of Decatur, an <br /> Illinois municipal corporation ("City"), Macon County, an Illinois governmental entity <br /> ("County"), and the Central Illinois Regional Dispatch Center ("CIRDC"), on the (iday of <br /> FEW Nam , 2023. The parties mutually desire to enter into this Agreement and further <br /> stipulate and agree as follows: <br /> WHEREAS, CIRDC implements computer-aided dispatch ("CAD") technology in order <br /> to perform dispatch services for various first responders employed by City and County; <br /> WHEREAS, CIRDC, with the agreement of City and County, intends to change the <br /> company that provides the software used for CAD, records, evidence, reports, etc. (collectively <br /> referred to as the"Public Safety Software Suite"); <br /> WHEREAS,City,County and CIRDC have each determined that it is in the public interest <br /> and general welfare of City, County and CIRDC to share the cost for CIRDC to change providers <br /> for its Public Safety Software Suite; and <br /> WHEREAS, no ordinances or laws prohibit this Agreement or the transactions provided <br /> for herein. <br /> NOW, THEREFORE, in consideration of the mutual covenants and promises contained <br /> herein,the adequacy and sufficiency of which are hereby acknowledged,the parties mutually agree <br /> as follows: <br /> 1. Transition of Public Safety Software Suite. CIRDC shall be responsible for taking all steps <br /> necessary to transition from its current Public Safety Software Suite provider to Tyler <br /> Technologies. <br /> 2. Cost of Transition.The parties acknowledge and agree that the estimated cost of the above- <br /> described transition is One Million Three Hundred Eighty-Four Thousand Dollars <br /> ($1,384,000.00). However, the parties also anticipate that there may be additional costs <br /> 1 <br />
