incurred as a result of the transition, and that this Agreement is entered into with the <br /> understanding that said costs will be shared as described herein even if said costs arise <br /> following the execution of this Agreement. <br /> 3. Cost Sharing. CIRDC shall pay 50%, and City and County shall each pay 25%, of all costs <br /> incurred to transition CIRDC from its current Public Safety Software Suite provider to <br /> Tyler Technologies. <br /> 4. Payment Schedule - County_. County shall pay CIRDC Four Hundred Thousand Dollars <br /> ($400,000.00) on or before March 1, 2023 as and for its share of the cost for the Public <br /> Safety Software Suite transition described above. Any funds not used by CIRDC for the <br /> Public Safety Software Suite transition shall be refunded to County or applied to the <br /> agency's next invoice for agency user fees charged by CIRDC. County shall notify CIRDC <br /> in writing of its preferred method of refund once the Public Safety Software Suite transition <br /> is complete and all costs have been finalized. <br /> 5. Payment Schedule— City. CIRDC shall send invoices to City for City's 25% share of all <br /> costs incurred for the Public Safety Software Suite transition described above on a rolling <br /> basis as costs are incurred by CIRDC. City shall pay CIRDC's invoices in full within thirty <br /> (30) days of receipt. <br /> 6. Future Maintenance Costs.Upon completion of the Public Safety Software Suite transition <br /> to Tyler Technologies, CIRDC shall be solely responsible for maintenance, updates, and <br /> repairs to the software. CIRDC may pass these costs to the end users of CIRDC's dispatch <br /> services via each agency's user fees. <br /> 7. Term. This Agreement shall commence on the date of execution by the parties and shall <br /> remain in effect until the transition from CIRDC's current Public Safety Software Suite <br /> provider to Tyler Technologies is complete. <br /> 8. Notices: Any written notices required by this Agreement shall be delivered to each party <br /> via first class mail at the following address: <br /> City of Decatur Central Illinois Regional Dispatch Center <br /> Attn: City Manager Attn: Executive Director <br /> 1 Gary K.
