Section 6. The Sub-recipient hereby acknowledges and agrees that if it fails to comply
<br /> with any of the provisions of this Agreement or if the CDBG-CV funds are used for or in any
<br /> manner contrary to those uses set forth in this Agreement, City may, in its sole discretion,
<br /> terminate this Agreement and,upon written demand by the City, the Sub-recipient will repay to
<br /> the City the funds used contrary to the terms set forth herein.
<br /> Section 7. The Sub-recipient agrees to provide to the City or its duly authorized
<br /> representatives, access to any books, documents, papers, and records of Sub-recipient which
<br /> pertain to the CDBG-CV funds provided for the purpose of monitoring,making audits,
<br /> examinations, and photocopying.
<br /> Section 8. The Sub-recipient shall be required to maintain all records for the period
<br /> designated by the City as required by the terms of HUD and any other laws, statutes and other
<br /> related regulations including,but not limited to, financial records setting forth all disbursements
<br /> under this Agreement.
<br /> Section 9. The Sub-recipient agrees to provide the City with regular progress reports due
<br /> on the 15th of each month and all other reports which may be required by the City for compliance
<br /> with HUD, Freedom of Information Act and any other federal or state law, statute, or other
<br /> regulation.
<br /> Section 10. The Sub-recipient agrees to comply with Title VI of the Civil Rights Act of
<br /> 1964; Title VII of the Civil Rights Act of 1968; Section 104(b) and Section 109 of the Housing
<br /> and Community Development Act of 1974, as amended; Section 504 of the Rehabilitation Act of
<br /> 1973; the American with Disabilities Act of 1990 as amended, and the Age Discrimination Act
<br /> of 1975 as amended.
<br /> Section 11. The sub-recipient hereby assumes liability for and agrees to protect,hold
<br /> harmless, and indemnify the City, its assigns, officers, employees, directors, agents and servants
<br /> from and against all liabilities, obligations, losses, damages,penalties,judgments, settlements,
<br /> claims, actions, suits,proceedings, costs, expenses, and disbursements, including legal fees and
<br /> expenses of whatever kind and nature, imposed on, incurred by or asserted against the City, its
<br /> assigns, officers, employees, directors, agents, and servants in any way relating to or arising out
<br /> of any allegations, claims, or charges regarding the use of the CDBG-CV funds by Sub-recipient,
<br /> including but not limited to the violation by the Sub-recipient of any of its covenants or
<br /> agreements under this Agreement, and any injury to any person, loss of life, or loss or
<br /> destruction of property in any way arising out of or relating to the performance or operation of
<br /> the Sub-recipient operations use of CDBG-CV funds.
<br /> Section 12. All Notices shall be in writing and delivered in person, or by overnight
<br /> delivery service with receipt, or deposited in the United States Mail,postage prepaid,by certified
<br /> or registered mail,return receipt requested, to the address set forth below, or at such other place
<br /> as a party may designate by written notice to all parties. A Notice shall be deemed given: (i) if
<br /> personally delivered, on the date delivered; (ii) if by overnight delivery service, on the date
<br /> delivered to the addressee; and(iii) if by mail, three (3) days after mailing.
