Agreement No. 20230907 <br /> ARTICLE 111 <br /> DEFINITIONS <br /> 3.1. Definitions.Capitalized words and phrases used in this Agreement have the meanings stated in 2 <br /> CFR 200.1 unless otherwise stated below. <br /> "Agreement"or"Grant Agreement"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Allowable Costs"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Award"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Budget"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Catalog of State Financial Assistance"or"CSFA" has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Close-out Report"means a report from the Grantee allowing the Grantor to determine whether all <br /> applicable administrative actions and required work have been completed,and therefore closeout actions can <br /> commence. <br /> "Conflict of Interest"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Direct Costs"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Disallowed Costs"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "DUNS Number"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Financial Assistance"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Fixed-Rate"has the same meaning as in 44 III.Admin.Code 7000.30."Fixed-Rate"is in contrast to fee-for- <br /> service,44 III.Admin.Code 7000.30. <br /> "GATU" means the Grant Accountability and Transparency Unit within the Governor's Office of <br /> Management and Budget. <br /> "Grant"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Grant Funds"means the Financial Assistance made available to Grantee through this Agreement. <br /> "Grantee Portal"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Indirect Costs"has the same meaning as in 44 III.Admin.Code 7000.30. <br /> "Indirect Cost Rate"means a device for determining in a reasonable manner the proportion of indirect <br /> costs each Program should bear.It is a ratio(expressed as a percentage)of the Indirect Costs to a Direct Cost base. <br /> If reimbursement of Indirect Costs is allowable under an Award,Grantor will not reimburse those Indirect Costs <br /> unless Grantee has established an Indirect Cost Rate covering the applicable activities and period of time,unless <br /> Indirect Costs are reimbursed at a fixed rate. <br /> State of Illinois <br /> GRANT AGREEMENT FISCAL YEAR 2023 1/18/22 <br /> Page 5 of 35 <br />
