CITY: HERITAGE: <br /> Public Works Director Mary Garrison <br /> City of Decatur Heritage Behavioral Health Center <br /> One Gary K. Anderson Plaza 151 North Main Street <br /> Decatur, IL 62523 Decatur,IL 62523 <br /> 15. The City and Heritage represent to each other that each has retained and relied or <br /> had the opportunity to retain and rely on its own legal counsel, accountants and other <br /> professional advisers in connection with the negotiation, execution, and performance of this <br /> Agreement and its consequences, including,without limitation, tax consequences. The City and <br /> Heritage represent to each other that any such professional fees and expenses incurred in <br /> connection with such shall be the sole obligation of that party. <br /> 16. Each signatory to this Agreement warrants and represents that such signatory is <br /> duly authorized to execute this Agreement on behalf of the party for who the Agreement is <br /> signed. <br /> 17. This is an enforceable Agreement placing specific obligations on the City and <br /> Heritage. Either Party is entitled to all legal remedies available under law or equity,including suit <br /> for specific performance ordamages. <br /> 18. Time shall be considered to be of the essence of this Agreement. <br /> 19. This Agreement contains the entire understanding of the parties hereto in respect of <br /> the transactions contemplated hereby and supersedes all prior agreements and understandings <br /> between the parties with respect to such subject matter there being NO ORAL <br /> REPRESENTATIONS. Heritage represents that it has been advised by City to consult an <br /> attorney prior to signing this Agreement and acknowledges that it has read and understands each <br /> and every part of this Agreement. <br /> 20. The agreements, terms, and conditions contained herein shall extend to and be <br /> obligated upon the heirs, executors, administrators, successors and assigns of the parties hereto. <br /> 21. By executing this Agreement,Heritage expressly represents and agrees that <br /> Heritage is not relying upon any representation, warranty or statement by the City, its employees, <br /> agents, officers or directors which differs from the disclosures made in this Agreement. <br /> 22. Prior to work being performed under this Agreement for the Project,Heritage shall <br /> require and obtain from any and all contractors and sub-contractors insurance coverages for <br /> workers compensation and employer's liability and commercial general liability in an amount as <br /> determined by the City and from companies acceptable to the City and authorized to transact <br /> business in the State of Illinois. The insurance companies will be rated with a rating not lower <br /> than A- and have a financial rating of VI. The required insurance shall be kept in force during the <br />
