E. EXTRA WORK AND CHANGE ORDERS. The Professional Service Provider shall only <br /> perform the work authorized by this contract and defined in the Scope of Work(attached hereto, <br /> marked Exhibit A, incorporated by reference herein and made a part of this Agreement). Should the <br /> size or complexity of the project exceed the amount of work contemplated by this contract or defined <br /> in the Scope of Work,the Professional Service Provider shall obtain written authorization in the form <br /> of a Change Order from the City's Representative,to perform extra work before such work is actually <br /> performed.A Change Order form is included in this Agreement as Exhibit D. The cost to perform any <br /> work prior to written authorization shall be paid exclusively by the Professional Service Provider and <br /> shall not be reimbursed by the City. <br /> An allowance of$10,000 has been included in the contract above the price quoted in Exhibit A for <br /> alterations,cancellations, extensions,deductions, or extra work on the project. The Professional <br /> Service Provider expressly acknowledges,recognizes and agrees that the only authority to approve <br /> change orders to this Agreement or the Scope or Services or the cost(s)therein is with the City <br /> Council of the City. No additional work shall be accomplished or costs incurred prior to City <br /> approval. <br /> SECTION II. BASIC SERVICES <br /> The Professional Service Provider shall: <br /> A. SCOPE OF WORK. Professional Service Provider shall provide all services as described in the <br /> Scope of Work, Exhibit A. <br /> B. CITY'S REQUIREMENTS. Review available data and consult with the City's Representative to <br /> clarify and define the City's requirements for the Project. <br /> C. COMPLETION TIME. The Scope of Work shall be completed, submitted and accepted by the City's <br /> Representative within the time period set forth in Exhibit C,Project Timeline. <br /> D. PREVAILING WAGES AND MINORITY PARTICIPATION GOALS. The City Code <br /> requirements for Minority Participation Goals for Public Works Contracts are in effect for all <br /> work items that require the payment of Prevailing Wages. The payment of prevailing wages <br /> is required for all construction or demolition of public works. Typical activities requiring <br /> payment of prevailing wages on this project may include crane work, repairs and painting. <br /> Professional services such as engineering design does not require the payment of prevailing <br /> wages. The minority participation goals are as follows: <br /> 1. Ten percent(10%) of the total dollar amount of the contract should be performed by <br /> minority business enterprises; and <br /> 2. Eighteen percent(18%) of the total hours worked should be performed by minority <br /> workers. <br /> The Professional Services Provider shall provide evidence of meeting the City's minority <br /> participation goals prior to all payment made for completion of work requiring the payment <br /> of prevailing wages. If the Professional Services Provider is unable to meet the minority <br /> participation goals,a waiver request may be submitted, along with substantial evidence of a <br /> good faith effort to meet the goals.
