Docusign Envelope ID:AB2A6BE4-2D7E-46D8-A217-599C4B5D73A3 <br /> REAL ESTATE SALES AGREEMENT <br /> THIS AGREEMENT is made and entered into as of the 9th day of September , 2024 <br /> by and between the City of Decatur, an Illinois municipal corporation ("Buyer") and Vulcan <br /> Lands, Inc., a New Jersey corporation, and its related entity in possession, Vulcan Construction <br /> Materials, LLC, a Delaware limited liability company ("Seller"). The Seller and the Buyer are <br /> sometimes referred to herein as a"Party"or"Parties." <br /> RECITALS <br /> A. The Buyer is a municipal corporation as set forth in the Illinois Municipal Code, <br /> 65 ILCS 5/1-1-1,et. seg. <br /> B. The Buyer is a home rule unit under Article VII Section 6(a)of the Illinois <br /> Constitution(IL Const. 1970,Art, VII, Sec. 6(a)). <br /> C. The Buyer is in the process of assembling properties for public purposes. Buyer <br /> now desires to acquire the following properties—commonly known as the Macon <br /> Quarry and the Decatur Quarry—that are legally described on Exhibit A attached <br /> hereto(hereafter the"Vulcan Property"). <br /> D. The Buyer, after due and careful consideration,has concluded that the acquisition <br /> of the Vulcan Property will further the health, safety, and welfare of its residents <br /> and taxpayers. <br /> E. Chapter 33 of the City Code of the City of Decatur provides that the City may <br /> acquire properties as the Council authorizes or approves. <br /> NOW, THEREFORE,in consideration of the foregoing and of the mutual covenants and <br /> agreements herein contained, and other good and valuable consideration, the receipt and <br /> sufficiency of which are hereby acknowledged,the parties do hereby agree as follows: <br /> I I P a g <br />
