I <br /> RECITALS PART OF AGREEMENT <br /> The recitations set forth in the foregoing Recitals are material to this Agreement and the <br /> Recitals are hereby incorporated into and made a part of this Agreement as though they were fully <br /> set forth in this Article I. <br /> II <br /> MUTUAL ASSISTANCE <br /> The Parties agree to take such actions, including the execution and delivery of such <br /> documents, instruments, petitions and certifications (and, in the Buyer's case, the adoption by the <br /> Buyer of such ordinances and resolutions), as may be necessary or appropriate to carry out the <br /> terms,provisions and intent of this Agreement and to aid and assist each other in carrying out said <br /> terms, provisions and intent. <br /> III <br /> SALE AND CLOSING ON VULCAN PROPERTY <br /> 3.01. Propeqy. Seller is the fee simple owner of those parcels of real property that comprise and <br /> are known as the (1) Macon Quarry and the (2) Decatur Quarry bearing Property Identification <br /> Numbers 06-11-29-400-002, 06-11-29-400-003, 02-11-32-100-004, 02-11-32-200-004; AND 04- <br /> 12-22-253-004, respectively (collectively, the "Vulcan Property"), consisting of approximately <br /> 473.56 acres; and approximately 11.75 acres, respectively as legally described in Exhibit A <br /> attached hereto (the "Real Estate"). <br /> 3.02. Purchase Price. Subject to the terms and conditions of this Agreement, the aggregate <br /> purchase price to be paid by the Buyer to the Seller for the Property is Six Million, Five Hundred <br /> Thousand Dollars ($6,500,000.00),which purchase price shall be paid by Buyer to Seller by wire <br /> transfer at Closing(hereinafter defined). <br /> 21Page <br />
