Section 10. The rights and obligations of the Licensee under this Agreement shall <br /> not be assigned by the Licensee except as allowed and set forth under the provisions of <br /> the City Code of the City of Decatur.. <br /> Section 11. If any section,subsection,term or provision of this Agreement or the <br /> application thereof to any party or circumstance shall,to any extent,be invalid or <br /> unenforceable,the remainder of said section,subsection,term or provision of this <br /> Agreement or the application of same to parties or circumstances other than those to <br /> which it is held invalid or unenforceable, shall not be affected thereby. <br /> Section 12.All notices,demands,requests,consents,approvals or other <br /> instruments required or permitted by this Agreement shall be in writing and shall be <br /> executed by the party or an officer,agent or attorney of the party,and shall be deemed to <br /> have been effective as of the date of actual delivery,if delivered personally,or as of the <br /> third(3rd)day from and including the date of posting,if mailed by registered or certified <br /> mail,return receipt requested,with postage prepaid addressed as follows: <br /> City of Decatur: Licensee: <br /> City Clerk <br /> City of Decatur <br /> #1 Gary K.Anderson Plaza <br /> Decatur,IL 62523 <br /> With Copy to: With Copy to: <br /> Corporation Counsel <br /> City of Decatur <br /> #1 Gary K.Anderson Plaza <br /> Decatur,IL 62523 <br /> Section 13.Nothing in this Agreement nor any acts of the parties to this <br /> Agreement shall be construed by the parties or any third person to create the relationship <br /> of a partnership,agency,or joint venture between or among such parties. <br /> Section 14. Notwithstanding anything contained herein to the contrary,this <br /> Agreement shall terminate upon expiration of the three year term set forth above. <br /> Section 15, This Agreement may only be amended by a written instrument <br /> signed by each party hereto. Any modification of this Agreement or additional <br /> obligations assumed by either party in connection with this Agreement will be binding <br /> only if evidenced in writing and signed by each party. <br /> Section 16, This Agreement may be executed in counterparts,and any party <br /> hereto may sign any counterpart. This Agreement shall be effective when each party <br /> hereto has signed a counterpart,and a set of counterparts bearing the signature of each <br />
