This confidentiality obligation shall survive the termination of this Contract and shall continue indefinitely unless otherwise agreed upon in writing by both parties. 8. INDEPENDENT CONTRACTOR: Contractor is engaged as an independent contractor and is not an employee, agent, or representative of Client. Contractor shall have sole control over the manner and means by which the services under this Contract are performed. Contractor is responsible for all taxes, insurance, and other obligations arising from this Contract and shall comply with all applicable laws and regulations pertaining to independent contractors. Client shall not be responsible for withholding taxes, providing benefits, or covering insurance for Contractor. Contractor acknowledges that they are not entitled to participate in any employee benefit plans, policies, or practices of Client. This independent contractor status shall be maintained throughout the term of this Contract and any renewal terms. 9. GOVERNING LAW: This Contract shall be governed by and construed in accordance with the laws of the State of Illinois. 10. ENTIRE AGREEMENT: This Contract constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Contract.
