Each renewal term shall be subject to the same terms and conditions as set forth in this Contract, unless otherwise agreed upon in writing by both parties. 3. COMPENSATION: a. Client agrees to pay Contractor a total contract value of$36,000 for the term of the Contract, payable in monthly installments of$3,000 each. b. Pre-Pay Offer: Client may opt to pre-pay the entire contract value at the commencement of the Contract for a total of$34,200, reflecting a 5% discount off the total contract value. c. Overages: In the event that the total hours of service provided by Contractor exceed 80 hours in any given month, Client agrees to pay an additional rate of$75 per hour for each hour over 80 hours. Contractor shall provide Client with a detailed accounting of all hours worked in excess of 80 hours in the applicable month, and such additional compensation shall be due and payable within 30 days of receipt of the invoice for such overages. 4. HOURS OF WORK: Contractor agrees to provide up to 80 hours of webmaster services per month. In any given week, the hours worked shall not exceed 30 hours. 5. INVOICING AND PAYMENT: Contractor shall invoice Client monthly for services rendered. Payment is due within 30 days of receipt of invoice. In the case of the pre-pay option, payment is due in full at the commencement of the Contract. 6. TERMINATION: This Contract is for a fixed term and is not subject to early termination by either party, except in the event of a material breach of the terms of this Contract by either party. In the event of a material breach, the non-breaching party may terminate the Contract upon providing 30 days written notice to the breaching party, specifying the nature of the breach and providing an opportunity to cure the breach within the notice period. If the breach is not cured within the notice period, the Contract may be terminated immediately by the non-breaching party. 7. CONFIDENTIALITY: Contractor agrees to maintain the confidentiality of all Client information and data and shall not disclose such information without the prior written consent of Client. This obligation of confidentiality shall extend to all materials, documents, and data, whether in electronic or other forms, that are provided by Client or developed by Contractor in the course of providing services under this Contract.
