Each renewal term shall be subject to the same terms and conditions as set forth <br /> in this Contract, unless otherwise agreed upon in writing by both parties. <br /> 3. COMPENSATION: <br /> a. Client agrees to pay Contractor a total contract value of$36,000 for the term of the Contract, <br /> payable in monthly installments of$3,000 each. <br /> b. Pre-Pay Offer: Client may opt to pre-pay the entire contract value at the commencement of <br /> the Contract for a total of$34,200, reflecting a 5% discount off the total contract value. <br /> c. Overages: In the event that the total hours of service provided by Contractor exceed 80 hours <br /> in any given month, Client agrees to pay an additional rate of$75 per hour for each hour over <br /> 80 hours. Contractor shall provide Client with a detailed accounting of all hours worked in <br /> excess of 80 hours in the applicable month, and such additional compensation shall be due and <br /> payable within 30 days of receipt of the invoice for such overages. <br /> 4. HOURS OF WORK: <br /> Contractor agrees to provide up to 80 hours of webmaster services per month. In any given <br /> week, the hours worked shall not exceed 30 hours. <br /> 5. INVOICING AND PAYMENT: <br /> Contractor shall invoice Client monthly for services rendered. Payment is due within 30 days of <br /> receipt of invoice. In the case of the pre-pay option, payment is due in full at the commencement <br /> of the Contract. <br /> 6. TERMINATION: <br /> This Contract is for a fixed term and is not subject to early termination by either party, except in <br /> the event of a material breach of the terms of this Contract by either party. In the event of a <br /> material breach, the non-breaching party may terminate the Contract upon providing 30 days <br /> written notice to the breaching party, specifying the nature of the breach and providing an <br /> opportunity to cure the breach within the notice period. If the breach is not cured within the <br /> notice period, the Contract may be terminated immediately by the non-breaching party. <br /> 7. CONFIDENTIALITY: <br /> Contractor agrees to maintain the confidentiality of all Client information and data and shall not <br /> disclose such information without the prior written consent of Client. This obligation of <br /> confidentiality shall extend to all materials, documents, and data, whether in electronic or other <br /> forms, that are provided by Client or developed by Contractor in the course of providing services <br /> under this Contract.
