The Parties recognize and agree that time is an important element of this Agreement. <br /> SECTION 3. GENERAL <br /> A. SUCCESSORS AND ASSIGNS. <br /> The parties each agree to bind their respective partners, successors,executors,administrators and <br /> assigns to the other party of this Agreement and to the partners,successors,executors,administrators, <br /> and assigns of such other party, in respect to all covenants of this Agreement, except as set forth <br /> elsewhere in this Agreement, neither party shall assign, sublet, or transfer their respective interests in <br /> this Agreement without the written consent of the other. Nothing herein shall be construed as creating <br /> any personal liability on the part of any officer or agent of any public body which may be a party hereto, <br /> nor shall it be construed as giving any rights or benefits hereunder to anyone other than the parties to <br /> this Agreement. <br /> B. DOCUMENTS. <br /> All drawings, specifications, reports, records, plans, electronic files or other documents that are <br /> produced or developed for the City as part of the Scope of Work of this Agreement are public <br /> documents and shall be deemed to be owned by the City and shall remain property of the City whether <br /> the Project is completed or not. <br /> C. INFORMATION <br /> The City shall furnish,at the City's expense, all information, requirements, reports, data, surveys and <br /> other records required by this Agreement. The parties agree that such information may be used in <br /> performing services required under this Agreement and that the parties are entitled to rely upon the <br /> accuracy and completeness thereof. <br /> D. SEVERABILITY <br /> If any section,terms or provisions of this Agreement or the application thereof shall be invalid or <br /> unenforceable,the remainder of each section, subsection,term or provision of this Agreement or the <br /> application of the Agreement to the parties,shall not be affected thereby. <br /> E. DRUG FREE WORKPLACE <br /> The Contractor/Consultant agrees that it shall comply with the Illinois Drug Free Workplace Act, 30 ILCS <br /> 580/1,et. seq.. If the Contractor/Consultant has twenty-five (25)or more employees or this Agreement <br /> is for more than Five Thousand Dollars($5000.00),the City shall be provided the Drug Free Workplace <br /> Certification . <br /> F. BID RIGGING, ROTATION <br /> In accordance with the Illinois Criminal Code,the Contractor/Consultant certifies that it is not barred <br /> from bidding on contracts as a result of a violation of any section or subsection of the Bid Rigging or Bid <br /> Rotating Statutes of the Illinois Criminal Code. <br /> 2 <br /> Last Revised 07-08-2015 <br />
