Docusign Envelope ID:53D4ACOC-1525-8229-80CD-7A5993182BA3 <br /> SERVICE AGREEMENT - BUS STOP <br /> THIS SERVICE AGREEMENT — BUS STOP (this "Agreement"), is made effective as of the _20th of <br /> July, 2026(the"Effective Date")by and between The City of Decatur,Illinois, hereinafter called "Stop Owner", <br /> and Greyhound Lines, Inc. and FlixBus, Inc., and their contractors, hereinafter called "Company"; <br /> WITNESSETH: <br /> WHEREAS Stop Owner operates a facility at 353 E. William St. Decatur, IL 62523_("Premises"), and <br /> Company desires to use Stop Owner's premises for a bus stop; <br /> NOW, THEREFORE, in consideration of the mutual agreements and other good and valuable <br /> consideration, the receipt of which is hereby acknowledged, the parties agree as follows: <br /> 1. As full compensation for all facilities provided by Stop Owner pursuant hereto, Company agrees <br /> to pay Stop Owner a fee of($250.00) per month. Such fee shall be payable by the 10th of each <br /> month,at Stop Owner's aforesaid place of business. If the Effective Date of this Agreement begins <br /> on a day other than the first day of a calendar month or if the Agreement ends on a day other than <br /> the last day of a calendar month,then the$250.00 monthly fee and all other fees payable hereunder <br /> shall be prorated on a per diem basis (based on a thirty (30) day month). <br /> 2. Stop Owner agrees to: <br /> a. Maintain all driveways, walks and approaches appurtenant to the Premises in a clean and <br /> safe condition at all times; <br /> b. Reimburse and hold Company harmless from any and all expense incurred and/or claims <br /> arising directly or indirectly from or on account of any neglect or failure to so maintain the <br /> said appurtenant areas; <br /> c. Permit Company to place and maintain a suitable sign or signs designating Stop Owner's <br /> Premises as a bus stop of Company; <br /> d. Permit a Company representative,upon termination of this Agreement,to remove all signs <br /> and other evidence of the use of Stop Owner's Premises as a bus stop of Company; <br /> e. Remove from the telephone directory or any other advertising medium any listing or <br /> reference to the fact that Stop Owner's Premises is used by Company for a bus stop,as soon <br /> as possible upon the termination of this Agreement. <br /> f. That all invoices generated by Stop Owner pursuant to this Agreement shall be addressed <br /> and sent to FlixBus, Inc P.O. Box 660362, Dallas —TX 75266-0362 — United States and <br /> Jonas.pearce@flix.com until such time that Company advises Stop Owner to address such <br /> invoices to Company or another affiliated entity. <br /> 3. Stop Owner will provide a designated bus stop for Company's use, not to include services such as <br /> Company ticket sales or incoming package depot. Additional services related to Company will <br /> only be permitted through written agreement in the form of a contract addendum, fully executed <br /> by all parties. <br /> 4. Company will provide Stop Owner written proof of insurance on or before commencement of this <br /> Agreement. <br /> 1 <br />
